SUMMARY OF THE ROLE The Chief Legal Officer & General Counsel is the head of the corporate legal department and is responsible for the legal affairs of the entire Finalsite organization, including international affiliates. This role includes providing legal counsel to the board of directors, chairman of the board, chief executive officer and other senior management. CLO must possess strong initiative, as well as excellent management and leadership skills and strong business acumen. LOCATION 100% Remote - Anywhere within the US RESPONSIBILITIES

• Working closely with Sales and other business units on contract issues, including customer and vendor relationships and addressing new lines of business
• Advising the CEO and other senior corporate officers on a variety of issues
• Previous experience as general counsel for a privately-held company is a plus
• Must be able to manage a robust work load and address multiple priorities simultaneously
• Communicate and interact with officials at all levels of government
• Actively participating in M&A transactions and implementation of business acquisitions
• Developing and leading corporate compliance programs, including Global Data Privacy Program
• Participating in the formulation of general management policy as a member of the executive management team
• Managing Board matters for the company’s affiliates
• Overseeing delivery of legal services and resources to accomplish corporate goals, strategies and priorities
• Interacting with the company’s investor team on operational matters
• Working closely with Human Resources to address employment matters bearing potential liability for the Finalsite group of companies
• Supervise and coordinate the work of legal professionals, paraprofessionals, consultants and outside counsel
• Maintaining proper corporate interactions with the relevant local, state and federal governmental bodies
• Completed degree(s) from an accredited institution that are above the minimum education requirement may be substituted for experience on a year for year basis

• Develop and implement legal strategies and solutions
• Developing and leading corporate legal strategy to promote and protect the company's interests, including analysis of legal risks and strategies to address new business opportunities or jurisdictions
• J.D. from an American Bar Association accredited law school; at least 15 years of experience directly related to the duties and responsibilities specified. Member in good standing of a State bar in the United States (Connecticut or another state or District of Columbia in which the company does business)
