Job Description
Position Summary:
Vista Equity Partners is looking for a Junior Counsel to join the in-house legal team and work closely with the Firm’s Vice President, Legal, M&A to support all transactions related to Vista’s private equity products and other legal work more broadly across the organization. This role presents tremendous growth potential, as it will further Vista’s investment strategy and goals by supporting deal execution and developing resources and processes for Vista’s investment professionals. This role will require collaboration with the broader legal and compliance team and partnership with Vista’s investment professionals, and it is a great opportunity for someone looking to add immediate value to a growing and dynamic firm.

This role can be based in Austin, TX and is for an immediate start.
Responsibilities:
  • Help identify needs for, and develop and update, processes for deal-related work streams
  • Review and negotiate term sheets, IOIs/LOIs, purchase agreements and merger agreements, restrictive covenant agreements, shareholder agreements, and other transaction documents
  • Oversee, negotiate, and directly manage confidentiality agreements, joinders, engagement letters, and non-reliance letters
  • Support the Vice President, Legal, M&A and Vista investment professionals and coordinate with outside counsel to facilitate deal execution work streams from the IOI/LOI stage to closing
  • Support the Vice President, Legal, M&A on transactions across the Vista private equity ecosystem and other legal work streams related to Vista’s portfolio
  • Manage playbooks and form documents
  • Oversee the due diligence process on transactions from a legal and risk management perspective and support the post-closing process
  • Research M&A market trends and legal developments and create and update training materials and internal resources for Vista investment professionals
Qualifications:
The ideal candidate will possess the following qualifications:
  • Transactional experience is required, including M&A
  • Membership in a state bar in good standing
  • 2-4 years of work experience at a top-tier corporate law firm
  • Bachelor’s degree and J.D. with an outstanding record of achievement from a highly regarded law school
The ideal candidate will possess the following skills:
  • Exceptional deal management skills: ability to quarterback numerous transactions and work streams in a fast-paced environment, prioritize requests and provide timely responses, and obtain input and provide legal positions within tight timelines
  • Strong judgment, problem-solving capabilities, legal and analytical skills and attention to detail
  • Self-motivated with a high degree of initiative: enthusiastic about new projects and learning new areas, taking ownership of work streams, and proactively identifying ways to contribute to the team
  • Exceptional written and verbal communication skills: ability to articulate legal positions concisely but effectively and provide guidance to non-legal teams
  • Excellent knowledge management skills: ability to efficiently organize and process large amounts of information, track deal terms and other relevant data, and manage databases
  • Excellent interpersonal and teamwork skills: ability to interact effectively at all levels of the organization, develop and manage relationships, and collaborate across multiple functions
