Job Description
General Description:
As a member of the Office of Legal Counsel, Legal Counsel assists in serving as a staff legal advisor to the State Bar of Texas Executive Director and State Bar staff and represents the State Bar on legal matters, other than grievance disciplinary matters handled by the Chief Disciplinary Counsel. Work involves staying abreast of and interpreting laws, regulations, case law, and rules that affect the State Bar of Texas; negotiating and preparing contracts and other legal documents; considering and advising on open meeting and public information matters; rendering legal advice and counsel; assists in handling administrative actions and court cases; assisting with the budget process and other key processes of the State Bar of Texas; and providing legal counsel and/or legal support to various State Bar-related entities. Legal Counsel works under the general direction of and reports to the Chief Legal Counsel.
Primary Functions:
In coordination with the Chief Legal Counsel, the Legal Counsel:
  • Ensures compliance by the State Bar of Texas with the State Bar governing documents and other legal obligations and restrictions concerning governmental transparency requirements, advocacy, human resources, and such other compliance matters that arise from time to time.
  • Assists in representing the State Bar of Texas in disputes, including hearings and litigation, except for grievance disciplinary matters handled by the Chief Disciplinary Counsel.
  • Assists in overseeing insurance and risk management for the State Bar and coordinates appropriate claims notification and follow through.
  • Assists in providing timely and effective updates on pertinent legal issues to the Board of Directors, the Executive Director, the Chief Legal Counsel, or other appropriate representatives of the State Bar of Texas.
  • Coordinates with and oversees outside counsel as needed.
  • Keeps current on legal developments that may affect the State Bar of Texas.
  • Creates and maintains State Bar internal policies.
  • Provides legal advice on policy decision-making.
  • Anticipates legal developments and issues that might expose the State Bar of Texas and those acting on its behalf to legal risk or liability, and takes timely and effective action to mitigate such legal risk or liability.
  • Provides timely and effective oral and written legal advice to the Executive Director and State Bar staff on matters pertaining to the State Bar of Texas.
  • Participates in the budget and financial oversight process of the State Bar of Texas to ensure compliance with applicable legal standards.
  • Works with Texas Supreme Court judicial liaisons and legal staff on matters concerning the State Bar of Texas.
  • Coordinates the board strategic planning and performance measures process and assists in implementing the strategic plan of the State Bar of Texas.
  • Negotiates, reviews, and prepares contracts and other documents, as needed.
  • Performs other responsibilities as assigned.
Position Requirements:

Experience and Education

Graduation from an ABA accredited law school with a current Texas law license required. Member in good standing with the State Bar of Texas, with at least five years of practice experience as a lawyer, very high ethical standards, and an excellent reputation in the practice of law required. A license in one or more Texas Divisions of the U.S. District Court, Fifth Circuit U.S. Court of Appeals, and the U.S. Supreme Court preferred. Experience in labor and employment law matters and issues preferred. Knowledge and experience in issues related to the Texas Public Information Act and Texas Open Meetings Act strongly preferred. Experience in advising government or quasi-government entities strongly preferred. Experience in negotiating, reviewing and drafting contracts required.

Strong analytical, numerical, and reasoning abilities. Strong ability to communicate effectively in both written and oral form. Strong organizational abilities, including the ability to perceive organizational implications of recommendations and decisions. Ability to establish and maintain effective working relationships with the Board of Directors, the Executive Director, staff, and others. Ability to discern the sensitivity of internal/external communications in a large public organization. Strong capability for timely accomplishment of multiple concurrent projects within high pressure environments and tight deadlines, with willingness to work irregular or long hours as required. Skill and knowledge of personal computers and associated software applications. Ability to coordinate, manage, and administer legal matters for the State Bar of Texas. Excellent judgment and decision-making skills with a reputation for high ethical standards and professional abilities. Occasional travel required. Current valid Texas operator’s license.
