Description


The Senior Counsel/Lead Counsel – Corporate Securities will be responsible for supporting SEC/NYSE reporting and Corporate Governance matters.


You may be eligible for the voluntary hybrid office work (HOW) program that is designed to provide employees with flexibility while maintaining the advantages of in-person engagement.


Your Responsibilities May Include
  • Controllers
  • Insider Trading Program Administration, including Section 16 filings
  • Investor Relations
  • General Advisory Responsibilities
  • SEC & NYSE Reporting
  • Treasury/Finance
  • Human Resources
  • Preparation of Proxy Statement and Annual Meeting materials
  • NYSE compliance, including annual and interim written affirmations
  • Corporate Governance - Preparation of Board Meeting materials and minutes
  • Corporate Communications
  • Advise on ’33 Act Offerings and ’34 Act Reporting Requirements
  • Advise following groups:
  • Responsibilities may include managing a team of 2 corporate governance professionals with responsibility for the corporate governance of our subsidiary companies
  • Administration of Corporate Governance Guidelines, Committee Charters and Code of Ethics


Basic/Required


  • Admission to the Bar of the State of Texas or other appropriate jurisdictions
  • 7+ years of legal experience with SEC/NYSE and Corporate Governance matters
  • J.D. degree from a law school accredited by the American Bar Association
  • Must be legally authorized to work in the United States as a U.S. citizen or national, or an alien admitted as a permanent resident, refugee or asylee

  • Ability to lead and prioritize assignments which may be broad in scope and complexity and which involve reciprocal work with employees in different departments and/or with varying degrees of seniority
  • Excellent written and oral communication skills and acute attention to detail
  • Analyzes stakeholder needs, global, political, and market trends to understand how they shape the future and impact business results
  • Thorough working knowledge and experience providing legal advice and services in connection with mergers and acquisitions undertaken by a large international company
  • Thorough working knowledge of the "1940 Act", the Securities Act of 1933, the Securities Exchange Act of 1934, and/or other federal securities laws, and experience preparing and filing registration statements and other filings required by law, as well as supplements, information and proxy statements
  • In-house experience preferred
  • Excellent negotiation, presentation, collaboration and diplomacy skills
  • Ability to work within broadly defined objectives
  • Mature judgment and discretion
  • Ability to learn quickly and apply company policies, procedures, operations and industry practices
  • Strong individual initiative, discipline and commitment to superior performance and continuous improvement
  • Ability to easily and effectively communicate with Legal management and internal business clients
