Dimensional's Legal department is an in-house team of client-focused attorneys, paralegals, and legal assistants who support internal business clients and external counsel to help provide legal expertise to Dimensional entities. This role will be responsible for supporting a diverse range of day-to-day corporate legal needs of Dimensional’s global advisor, distribution, sales, client servicing, and marketing activities. This role will work with legal, compliance, and business partners at all levels of the organization with respect to international, federal, and state securities laws concerning the sale and distribution of investment advisory services and products globally. The position will be based in Austin, Texas or Charlotte, North Carolina and will report to the Vice President and Deputy General Counsel, Sales.

Primary Responsibilities:

• Assist in all manner of sales, distribution, and client service of Dimensional’s global advisory business, including the preparation and negotiation of Investment Management Agreements, RFP responses, client communications, and certifications.
• Prepare and negotiate distribution agreements.
• Work with, and oversee, outside counsel globally on a variety of legal matters, ensuring that standards for service delivery and cost are met.
• Serve as the primary liaison for inquiries associated with Dimensional’s small separate account, models, and CIT businesses, with assistance and training from the Deputy General Counsel, Sales.

Additional Responsibilities:

• Assist in the maintenance of employee long-term incentive plans and Long-Term Incentive Plan agreements.

• As necessary, assist in the review of global marketing materials as it relates to the sale of advisory services and private placement opportunities.
• Collaborate with Dimensional attorneys globally regarding legal, regulatory and compliance issues related to fund and investment adviser marketing, private placements, platforms, and other matters supported by the legal department.

Qualifications:

• Understanding of rules and regulations associated with providing investment management services and contract negotiations.
• Experience with the Investment Company Act of 1940 and the Investment Advisers Act of 1940 required; experience with various foreign investment advisor laws and regulations preferred.
• 3-5+ years of practicing law in investment management, preferably with a top-tier law firm or in the legal department of a broker-dealer and/or investment adviser.
• Self-starter who can manage multiple time-sensitive projects involving different business and support groups.
• Membership in a U.S. state bar required; member of Texas or North Carolina State Bar preferred.
• Excellent verbal and written communication skills, as well as an ability to communicate with non-lawyer business partners in a clear and understandable way.
• Demonstrated experience reviewing broker-dealer and/or investment adviser marketing materials for legal issues specific to financial services or other regulated industries.
• JD from a top law school.
• Able to work well in a team environment; experience working in a hybrid environment preferred.

Pay: $220,000.00 - $275,000.00 per year
