This is a blended role: approximately 70% litigation and 30% commercial. 7+ years of litigation experience required. The successful candidate will manage all in-house facets of litigation, including e-discovery, fact-finding, settlement negotiation, and witness preparation. While outside counsel will handle much of the day-to-day case activity, the selected candidate will ultimately be responsible for directing strategy, controlling costs, and advising clients.

The successful candidate will also handle a small portfolio of commercial legal matters. The chosen candidate will negotiate, review, and advise on agreements, with a focus on identifying risks, reducing liability, and ensuring that business practices and policies comply with legal and regulatory requirements. The successful candidate need not have experience as a transactional lawyer but should be familiar with complex contract issues (e.g., indemnities, limitations of liability, insurance) and must be willing to embrace the commercial component of the role as co-primary to the litigation component.

Successful candidate will need to be business-minded with an ability to present internal clients with real-world, pragmatic risk assessment and potential solutions in a sophisticated and fast-paced environment. The candidate must also have strong communication skills and the ability to listen, understand, and advise a diverse group of internal clients with varying business needs.

Degree

• Juris Doctor Degree in Law.

The minimun number of years of job related experience required by this job is:

• 7 years specified legal experience as an attorney.

• Licensed to practice law in the United States.
• A valid driver’s license is required.

Litigation Counsel

• Manage all aspects of litigation and advise on pre-litigation disputes. Develop and drive litigation strategy. Partner with the business to identify potential litigation risks and solutions.
• Supervise and partner with outside counsel to ensure that all aspects of legal representation are of the highest quality, including the day-to-day running of matters, overall strategy, written work, and oral advocacy.
• Take a leading legal role in providing advice and counsel to internal clients relating to risk management, compliance, company policies and procedures, corporate governance, and operational issues.
• Identify potential litigation or regulatory risk and counsel the business to minimize exposure.
• Control costs.

Commercial Counsel

• Make recommendations related to legal department policies, procedures, and systems.
• Gain comprehensive knowledge of the Company and its activities, values, and philosophies. Identify and evaluate alternatives and recommend courses of action to internal clients.
• Draft, review and negotiate sales and purchase contracts and other commercial contracts. Concisely and promptly articulate the legal implications of business alternatives.
