Corporate Compliance Counsel Jobs

Manage complex legal projects under the direction of the Corporate Counsel and the CLO/CFO

5+ years of Transactional Experience (with both In-house and Law Firm roles)

Pharmaceutical experience or experience within an FDA regulated environment is a HUGE bonus

Research applicable statutes, codes, and case law as needed to perform company objectives Interact with and advise clients

Support outside counsel on litigation matters

Provide company-wide advice and guidance on legal compliance issues with regards to HR issues, including Employment and Contractor Engagement

Knowledge of and applicable experience with campaigns, election administration, election policy, or election law.

Advise and ensure leadership, staff, and appropriate stakeholders are aware of compliance requirements and work with them to meet standards.

Excellent interpersonal and relationship building skills with a strong ability to facilitate collaborative problem-solving to reach solutions.

Experience with contract, employment, and IP law.

Review, negotiate, and prepare contracts, requests for proposals, and other legal documents for the company.

Advise on mergers & acquisitions, joint ventures, entity formation and organizational activities undertaken by affiliated companies.

Exceptional and demonstrated organizational and project management skills, ideally related to internal reorganizations and international expansion.

Manage a talented experienced corporate paralegal responsible for foreign subsidiary compliance activities.

Experience working with international corporate governance requirements in a wide variety of jurisdictions.

Oversee the corporate governance and maintenance of all foreign subsidiaries to ensure compliance with local governance requirements.

Manage outside counsel and global subsidiary governance services provider on variety of international corporate matters, as needed.

JD and bar admitted with 5-10 years’ relevant international experience at major law firm and/or in-house at a public company.

Preferred Education, Experience and Skills:

J.D. and a minimum of 3 years’ experience in a related area.

Experience with drafting complex agreements and creating standard agreements.
