Manages and directs the Corporate Law & Litigation Division. Represents the Authority in all corporate matters, advancing Authority objectives while ensuring legal compliance. Representative matters include procurements, non-tort litigation include contract and bid disputes, supporting capital projects, intergovernmental agreements, bonds and other financing agreements, real estate matters and other commercial transactions. Advances internal compliance procedures and required legal approvals. May appear on behalf of the CTA in state and federal courts in corporate matters such as contract disputes, trademark infringement, fraud, and administrative review. Provides advice and counsel to all CTA departments on a wide variety of topics. May act as ‘first chair.
PRIMARY RESPONSIBILITIES
- Various administrative responsibilities—e.g., evaluations, discipline, Law Dept. committees.
- Engages outside counsel where appropriate.
- Provides advice and counsel directly to a wide variety of CTA clients.
- Oversees and participates in internal legal compliance processes.
- Must have ability to handle most matters that arise in practice area.
- Performs other duties as assigned
- May require appearances before courts and administrative agencies, trials, hearings and arbitrations.
- Oversees non-tort litigation, including commercial litigation, bid protests, and human rights violations.
- Drafts and negotiates all manner of agreements, including procurement documentation, construction and design-build contracts, service agreements, supply contracts, intergovernmental agreements, settlement agreements, real estate agreements, bond documentation and finance agreements, or any other contracts as needed.
- Supervises the work of Managing, Chief, Senior and Associate Attorneys and support staff in area:
- Drafts and supports internal documentation and processes.
- Handles own docket of procurements, contracts, cases and other matters.
- Provides strategic legal advice and guidance on transaction structures and compliance issues.
- Assigns and oversees each procurement and contract.
- Provides advice and counsel on a wide variety of general corporate matters typical to a large municipal corporation, including financial matters, contracts, litigation, intellectual property and Federal and State grant requirements.
- Provides mentoring and other skill-development services for junior attorneys and staff.

EDUCATION/EXPERIENCE REQUIREMENTS
- Must have ten plus years of experience.
- Law degree from an accredited school of law and licensed to practice law in the State of Illinois.
- Required to maintain appropriate continuing legal education credits.
PHYSICAL REQUIREMENTS
- Requires remaining in a stationary position for extended periods of time and constantly operating a computer and other office productivity machinery.
- Service Area Requirement: Exempt (Non-Union) employees must live within the boundaries of the CTA Statutory Service Area either at the time of employment or within 6 months of beginning employment at CTA.

KNOWLEDGE, SKILLS, AND ABILITIES
- Must possess integrity, initiative and the creativity to provide effective solutions to CTA issues.
- Must possess a working knowledge of Microsoft Suite including word processing functions.
- Must be knowledgeable of applicable federal and state laws, in particular with respect to regulations for grant financing.
- Must have strong leadership and managerial skills.
- Must be capable of leadership and teamwork.
- Must be able to provide legal advice in a short response time and able to work on many tasks simultaneously.
- Must possess the managerial and administrative skills to direct and coordinate the activities of the practice area.
- Must communicate effectively, both verbally and in writing and possess analytical skills necessary for competent legal interpretation.
- Must possess suitable temperament and disposition, and strong interpersonal skills to effectively interrelate with assigned staff and various levels of personnel from other Authority departments.
WORKING CONDITIONS
- Usual office working conditions.
- Make occasional site visits to non-office locations (e.g. client field locations, court, offices of other local and state government agencies and transaction negotiations and closings).
EQUIPMENT, TOOLS, AND MATERIALS UTILIZED
- Computer, telephone, trial visual aids equipment, office productivity, on-line legal research and litigation support software.
Final salary will be determined in part by the qualifications of the selected candidate and may be higher or lower than target.
