Role Description


As Corporate Counsel at GFiber, you'll work on the legal issues for disruptive products and approaches that require creative and proactive legal guidance. You'll be part of an innovative and business-driven group of in-house lawyers. You will partner on initiatives that influence all aspects of the business and work with colleagues from all over the company. As an integrated part of the GFiber team, you will proactively assess legal risks, advise on structural and financing issues, collaborate on governance matters, as well as negotiate and draft contracts and advise on commercial and tech transactions.


In this role, you'll:


  • Advise on the strategy, negotiation and documentation for mergers & acquisitions, joint ventures and other financing transactions (e.g., structuring, due diligence, and definitive documentation and closings).
  • Advise on corporate organization, GFiber legal structure establishment, maintenance and general corporate support (legal entity set-up, maintenance and ongoing documentation)
  • Draft and negotiate a broad range of commercial and corporate agreements across the board, from network deployment to hardware, software, and SaaS procurement, to sales deals and programmatic advice including templates and playbooks.
  • Provide advice, strategic counseling, and contracting support for network deployment through the public right of way and within residential and commercial private property and private property-related issues (right of entry, wiring access, conduit licensing, bulk service, sales incentives).


At a minimum we'd like you to have:


  • Bachelor's degree and Juris Doctorate Degree with bar membership in good standing.
  • 8 years of experience advising on structuring corporate transactions, mergers & acquisition, and financing transactions.
  • Experience leading due diligence teams, and related experience in general corporate and corporate governance matters.
  • 10 years of experience in corporate and commercial law.


It's preferred if you have:


  • Ability to run M&A and financing transactions from inception to closing.
  • Experience in telecommunications, construction, or infrastructure industries.
  • In-house legal team experience advising business partners in the areas of corporate structuring, mergers & acquisitions, and commercial contracts.
  • Experience counseling on privacy and compliance matters and innovative projects from idea phase to launch.
  • Ability to deliver communications and advice to executive level stakeholders.


The US base salary range for this full-time position is between $217K - $297K + bonus + equity + benefits. As pay varies by location, your recruiter will share more about the specific salary range for your targeted location during the hiring process.
