Schneider Electric has a meaningful Legal Counsel opportunity based in Eastern Standard Time Zone of the US. The ability to work in a hybrid model [i.e. 1 day per week at one of Schneider Electric Hub offices (Foxboro (MA), Andover (MA), or Raleigh (NC))] is preferred; or fully-remote anywhere in the Eastern Standard Time Zone is also feasible. Position Summary

  • Schneider Electric is seeking a Juris Doctor with a minimum of 3-5 years’ experience in commercial contracting, preferably with experience in technology procurement and service agreements. This role requires subject matter expertise in drafting, analyzing and negotiating commercial technology procurement and professional/IT services contracts (including statement of work for services) of varying scope and complexity, and an understanding of the legal and contractual risks associated. Prior experience with intellectual property law and software and SaaS agreements is required.

Roles & Responsibilities

  • Drafting, analyzing, providing advice and negotiating a combination of technology procurement and service contracts of varying scope and complexity.
  • Legal support on other types of commercial transactions, including the sale to Schneider Electric customers and distributors of a wide array of products and services spanning the energy management and industrial automation businesses.
  • Providing thought leadership on best-in-class contracting templates; development of contracting best practices, clause libraries, playbooks and associated internal training of legal, purchasing and sales/operations teams; and use of digital tools to automate contracting processes/workflows and to assess contractual risk through application of AI/analytics.
  • Working directly with internal stakeholders, as well as with Schneider Electric suppliers and/or customers, to negotiate complex agreements in relation to Schneider Electric’s operation to support the Schneider Electric business, development, product offering, customer projects or services and technology incorporated in Schneider Electric offerings.
  • Advising internal stakeholders on commercial disputes with customers and/or vendors prior to the formal dispute resolution process.

Qualifications
  • At least 3 years’ prior experience directly handling, drafting and negotiating complex commercial contracts preferably in a global setting
  • Bar admission in at least one U.S. state.
  • Juris Doctor from an accredited law school in the U.S.
  • Prior experience & knowledge in data protection law, DPA negotiation and cybersecurity requirements negotiation.
  • At least 1-2 years’ prior experience in drafting & negotiating Software/SaaS/Cloud services & professional/IT services contracts
  • Familiarity with IT RFP and SOW contract terms and conditions

  • Strong business acumen to understand the business intention, subject technology/services of the contract, ability to relate them and associated risks to the contract terms & negotiation status, and the ability to translate complex legal advice into clear and actionable guidance for operational teams.
  • Willingness and ability to accommodate early or late meetings as needed due to the global nature of the projects supported and different location of people involved in such projects
  • Lifelong learner mindset with a hunger to stay current on legal, technology and business trends, intellectually curious, willing to take on new responsibilities and try new challenges.
  • Strong commitment to serving as an engaged partner to the business and the legal teams on all elements of commercial contracting.
  • Strong relationship management skills - able to function in highly complex global environments often with a high degree of ambiguity and change.
  • Strong negotiation skills, attention to detail, integrity mindset, high-energy, can-do attitude, tenacity, team spirit and attitude, proactive, collaborative and strong communication skills in multi-cultural environment.


Preferences

  • Optional experience managing IT projects in complex global environments.
  • Law firm experience will be considered; prior in-house counsel experience within a corporate legal department is a plus.
