The Wounded Warrior Project (WWP) Assistant General Counsel (AGC) assists the Vice President, General Counsel & Corporate Secretary in protecting the organization's legal interests within the scope established by law. This position leads the routine operations of the legal department and oversees a team of attorneys, paralegals, and legal administrative support staff. The AGC provides hands-on counsel to all levels of the organization, teammates, identifies and analyzes legal issues, drafts key documents, presents recommendations, and ensures legal compliance across the organization.

DUTIES & RESPONSIBILITIES:
  • Advise on employment related matters including but not limited to employee complaints, leave and accommodations, wage and hour issues, employee benefits, and compliance with applicable laws and regulations.
  • Under supervision of the Vice President, General Counsel & Corporate Secretary, direct the legal team’s operations, contract/project assignments, status monitoring, and participate in a wide range of complex legal matters.
  • Other related duties as assigned.
  • Proactively identify legal risks, develop mitigation strategies, and provide counsel to internal clients and stakeholders on a variety of issues including but not limited to contracts, corporate governance, litigation, employment law, and regulatory compliance.
  • Maintain the highest ethical and legal standards and perform duties with the expected degree of confidentiality, integrity, responsibility, and excellence in service.
  • Contribute to the development of policies, processes, procedures, and records and standards for the organization on all legal topics including intellectual property, transactional law, software and technology, charitable registration, licensing, etc.
  • Manage departmental responses to ad hoc queries regarding potential legal issues, including identification, analysis, and evaluation of risks to formulate appropriate legal solutions.
  • Oversee the activities and work-product of WWP’s attorneys and legal support staff.
  • Draft, review, and negotiate a wide range of contracts, including but not limited to vendor agreements, procurement and services agreements, grant agreements, and other business documents.
  • Direct and manage the work of outside counsel as needed including management of counsel budgets and applicable insurance carriers.

EXPERIENCE:
Requirements
  • Active license in good standing with the Bar Association.
  • Demonstrated experience managing attorneys, paralegals, and legal administrative professionals.
  • Five years of experience drafting and negotiating contracts.
  • Ten years of experience as a practicing attorney (in-house counsel or private practice).
Preferences
  • Knowledge of applicable laws and regulations specific to the nonprofit sector.
  • Experience advising on employment matters including complaint resolution, leave and accommodations, and employee benefits.
EDUCATION:
Requirements
  • Juris Doctor (J.D.) degree from an accredited law school.
