Investment Banking M&A Shareholder Activism And Corporate Defense Analyst Class Of 2022 - New York

Our New York based M&A Group is looking for an Investment Banking Analyst to join the Shareholder Activism and Corporate Defense team, which advises public company clients and their boards of directors in the area of shareholder activism defense and hostile takeover defense. In this role, the banker will be part of the M&A Group and will work alongside Shareholder Activism and Corporate Defense Bankers, as well as Coverage and M&A bankers, on a number of mandates.

The banker will be required to provide advice and assistance to all industry and geographical coverage teams and Morgan Stanley clients regarding preparing for and responding to shareholder activists and hostile suitors, and advise on matters relating to ESG and shareholder relations, including responding to activist shareholder campaigns, unsolicited takeover bids, proxy contests, consent solicitations, special meeting demands and other contests for corporate control. The banker will help create presentations and analyses for defense pitches to drive client marketing/targeting efforts and work on live defense mandates/proxy fights.

• Commercial instinct and ability to perform under pressure and tight deadlines
• Desire to use both quantitative and qualitative skills on a daily basis
• Series licensing or must obtain
• Strong written and verbal communication, client and interpersonal skills
• Ability to think strategically and tactically in complicated situations
• Top education credentials; Bachelor’s degree is required
• 1 year of relevant experience within investment banking or capital markets is required
• High level of motivation and commitment to working hard
• Comfortable reading and interpreting financial statements
• Interest in the areas of shareholder activism, hostile takeovers, and ESG

Expected base pay rates for the role will be between 110000 and 125000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
