Position Overview
CRH Americas, Inc. is seeking an experienced transactions attorney to join its collaborative legal department. In this hands-on role, you will report to an Associate General Counsel of CRH Americas, Inc. and work closely with the Strategy & Development (“S&D”) Team and local operating companies. This role will help manage all aspects of complex transactions, including acquisitions, divestitures, joint ventures, and equity investments. As a result, this position requires the skill to identify and address potential risks throughout the life cycle of a complex transaction.
Key Responsibilities (Essential Duties & Functions)
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily:
- Draft, review, negotiate, and interpret a broad range of contracts, including confidentiality agreements, letters of intent, joint venture agreements, disclosure schedules, and purchase and sale agreements.
- Other duties as assigned.
- Collaborate across functions, including tax and risk management, to achieve transactional objectives.
- Engage with stakeholders to drive business-oriented solutions to issues arising from complex transactions.
- Regular and predictable attendance at assigned times is required.
- Develop, review, and revise form agreements and develop tools to improve transactional efficiency.
- Select, develop, evaluate, motivate, retain, and train staff, as needed.
- Serve as legal advisor on a variety of merger and acquisitions matters.
- Identify legal exposures and take steps to ensure processes are in place to mitigate those exposures.
- Stay current on market tends and practices in order to make effective legal recommendations.
- Coordinate and assist with the management of due diligence for business divestitures.
- Provide training with regard to topics such as transaction agreements, best practices, and antitrust.
- Work with other legal team members to manage the corporate governance issues related to transactions.
- Partner with the Company’s S&D team and operating companies to evaluate, negotiate, and execute strategic transactions of all types.
- Counsel managers and other employees with regard to legal matters.
- Where applicable, collaborate with outside counsel to drive transaction process.
- Maintain professional demeanor at all times.
- Work collaboratively with all levels of internal and external clients.
- Advise on a variety of commercial matters and contracts, including supply agreements.
- Coordinate and lead legal due diligence review for acquisitions.
- Help stakeholders to progress all workstreams, including due diligence and regulatory review.
Qualifications
Education/Experience
- Strong process management and organizational skills.
- Three or more years of hands-on transactional experience, with experience coordinating transactions.
- Ability to collaborate across functional groups and develop mutually collaborative relationships.
- Juris Doctorate degree from an accredited law school and strong academic credentials.
- Demonstrated skill in negotiating and advising senior managers on high value/risk matters.
- License to practice law in at least one state.
- Sound judgment with an ability to make timely decisions and provide competent legal advice.
- Commitment to understanding the Company’s industry, businesses, and strategic objectives.
- Ability to work on multiple projects in a fast-paced environment.
- Must be highly ethical, able to maintain confidentiality, and handle highly sensitive information.
- Ability to balance business objectives and risks.
- Prior law firm or in-house experience required.
Work Requirements
- Willingness to work independently within a team environment and assist the team with other duties.
- Must be willing to travel up to 10%.
- Must pass pre-employment drug screen and criminal background check.
- Must be 18 years in age or older.
- Strict adherence to safety requirements and procedures as outlined in the Employee Handbook.
- Must have expert proficiency in Microsoft Word, Excel, PowerPoint, and Outlook.
