About the role:

Apprentice is looking for an experienced commercial attorney to lead legal negotiations with our customers and vendors and efficiently bring deals to a favorable close. We are looking for a high performer who has exceptional communication skills and is adaptable, practical, loves to learn, and operates with a high degree of integrity. You will be Apprentice’s second attorney, with opportunity to assist in areas beyond commercial contracts.

This role is located in the U.S. and will report to the General Counsel. You can be fully remote, with the expectation you will to travel to Apprentice’s headquarters in Jersey City, NJ, across the Hudson River from New York City, at least quarterly.

Key Responsibilities:

• Assist with other company initiatives as required (e.g., M&A, litigation, employment matters).
• Draft and negotiate agreements with a variety of partners.
• Respond to inquiries regarding contract interpretation and compliance
• Collaborate with the business to deliver results with speed and urgency.
• Identify legal risk and find innovative solutions to any issues that arise.
• Act as a true legal partner to internal business teams on a variety of legal topics pertaining to sales agreements, vendor agreements, compliance, privacy and security.
• Draft and negotiate agreements, including SaaS agreements, data privacy agreements and NDAs, with a wide variety of life sciences customers.
• Create and improve form agreements.
• Build processes to drive efficiency.
• Draft and negotiate vendor agreements, including IT, marketing and consulting agreements.
• Coordinate with internal and external subject matter experts, including external counsel, when needed.

Requirements:

• J.D. with active status in a U.S. state bar (ideally where the position is located).
• 6+ years of legal experience in a contract focused role, preferably with experience being part of an in-house legal department and working remotely with distributed teams.
• Ability to proactively, efficiently and accurately assess and communicate legal business risks in a fast-paced environment.
• Proactive personality and strong eagerness to learn about the business, the industry, and new areas of the law and applicable regulations.
• Ability to cover multiple areas of law and learn new areas quickly.
• Track record of creative problem-solving, excellent written and oral communication skills, and creation of strong and trusted cross-functional relationships.
• Meaningful experience with SaaS contracts and commercial contracts generally.
• Ability to navigate a complex startup environment.
• Ability to successfully work independently with little guidance, but also able to use good judgment and escalate issues when needed.
• Ability to prioritize and execute based on the information available.

Nice to Have

• Experience working in-house at a contract research organization (CRO), contract development and manufacturing organization (CDMO), technology company, software company or pharmaceutical company.
• Familiarity with one or more of data protection, information security, employment law, corporate law.
• Experience in the life sciences industry.
• Experience with a fast-growing startup environment.
