Reporting to the General Counsel, the Corporate Counsel directs the contracting process and activities, including the negotiation and interpretation of sales agreements between the Company and its customer. The Corporate Counsel also will go beyond sales interactions to help the company assess risks and address issues across a variety of areas. A successful Corporate Counsel will: (a) exhibit critical-thinking and adapt prior experience to resolve novel contract-related issues and (b) be a strong partner for the company, collaborating with the business leaders to find creative solutions to problems while mitigating legal and compliance risk. Said differently, when faced with a challenge with which one cannot simply agree, the Corporate Counsel has an attitude “no, but let’s try this instead” rather than simply “no”.

The Corporate Counsel will work closely with both the sales team and the contracts associates and paralegals on the legal team. The Corporate Counsel will be one of three attorneys reporting to the General Counsel.

Essential Duties & Responsibilities:

• Negotiates new client, vendor, and partner contracts.
• Advises on and drafts policy and procedure documents to assist with the achievement of company objectives.
• Answers questions from business colleagues regarding existing contracts.
• Works with the sales department to prioritize and facilitate timely resolution of client contract issues.
• Provides cross-functional legal and compliance assistance to other departments, leveraging one's background knowledge.
• Uses critical thinking to draft custom amendments to customer contracts.
• Reviews and analyzes complex business issues to provide recommendations to senior management.
• Assists with M&A due diligence and integrations of companies.

Requirements & Skills:

• Experience negotiating Data Privacy Agreements.

• Preferred skills:

  • Contracting experience within the software field.
  • Experience handling labor or employment matters for a corporation.
  • Experience negotiating Data Privacy Agreements.
• Ability to analyze and pragmatically resolve complex issues – excellent problem-solving skills.
• Inherent motivation to work in a fully-remote or hybrid environment.
• Ability to lead project teams to help achieve company objectives.
• Contracting experience within the software field.
• Strong transactional and negotiation skills.
• Excellent interpersonal and communication skills required.
• Strong business decision-making skills and the ability to function independently and give pragmatic legal advice.
• Experience handling labor or employment matters for a corporation.

Education & Experience:

• Holds a J.D. degree from an accredited law school.
• 2+ years of attorney experience, preferably in a corporate environment.
• Admitted to and in good standing with a state bar.
