Chief Finance Officer – Fractional

The Role:

As a key member of the Executive Management team, the Chief Financial Officer reports to the Chairman & CEO and assumes a strategic role in the overall management of the company. It is anticipated that this role will be 10-20 hours per week and fluctuate as investment deal demands dictate. This service relationship is expected to run through Q1 2024 but may well lead to a permanent placement in the future.

Specific Responsibilities include:

The Fractional CFO plays a key role in developing, monitoring and evaluating overall corporate strategy with the CEO and leaders of the business units with emphasis on bottom line performance, working capital and enhancing investor value. This position will provide useful financial insights to help make better decisions about formulating and executing strategy.

The Fractional CFO must have direct experience in a high growth (M&A and Organic) global entrepreneurial company culture. The CFO has to be experienced in preparing a company for investment funding, due diligence requirements, quality of earnings analysis and M&A transactions. This is a role for an entrepreneurial CFO with significant deal experience.

Essential Duties and Responsibilities:

• Manage all legal requirements for 3rd party service providers, technology solution providers, event hotels/venues and client contracts.
• Review, update and prepare all financial accounting, budgeting and reporting for extensive due diligence reviews and quality of earnings analysis.
• Hands on day to day management of a small finance and accounting team with direct responsibility across three globally distributed business units.
• Manage financial capital; communicate capital requirements/ implications of business decisions to CEO, management team, and Board of Directors.
• Work with the CEO and Global Controller to define the financial strategy including capital needs, product revenue profiles, revenue recognition, expense management, P&L performance and cash management.
• Create the financial book and present to prospective bankers and investors.
• Lead all new capital funding and M&A strategies and tactics assuring sufficient access to capital to support aggressive growth.

Professional Qualifications

The ideal candidate will possess:

• Progressively responsible financial leadership roles.
• Experience with private equity and commercial lending is required.
• Direct experience in an ARR based content, membership, digital and/or events business.
• Successful experience in navigating complex due diligence and quality of earnings analysis.
• Strong interpersonal skills, ability to communicate and manage well at all levels of the organization and with staff at remote locations essential.
• Experience with global financial reporting and accounting requirements.
• Proven experience in readying companies for significant investment transactions including exit transactions.
• Strong problem solving and creative skills and the ability to exercise sound judgment and make decisions based on accurate and timely analyses.
• Direct successful experience in leading an M&A process from prospect targeting through to deal closure and company integration.

The Chief Financial Officer enjoys a competitive contract fee structure, and a deal performance bonus for successful transactions.
