Department Overview
The Director of Corporate Development will work closely with key leaders across the company to drive transactions that will shape Motorola Solutions’ future portfolio of businesses.

This position is responsible for leading merger, acquisition, divestiture and venture capital projects from inception to completion. This includes:
Mergers & Acquisitions
  • Lead the execution phases of the acquisition or divestiture process by working closely with the business unit, legal team, external advisors and functional due diligence leads from across the company. Responsibilities will include due diligence coordination; synergy, financial modeling and valuation analysis; transaction structuring; legal document reviews and negotiation; integration planning; and managing the internal approval process
  • Advise business executives on the financial implications and risks related to key transaction issues and important strategic M&A decisions
  • Engage with investment bankers on inbound acquisition opportunities and to exchange M&A ideas as well as solicit information and perspectives on companies and business areas of interest
  • Build exceptional relationships across the business units and functional teams
  • Lead the initial acquisition process including: confidentiality agreements, initial due diligence, preliminary financial modeling, transaction valuation, term sheet preparation and negotiation
  • Partner with the integration management office and the business units to support the initial integration activities
  • Partner with the business and strategy teams to identify potential acquisition targets and transactions or partnerships which are aligned with MSI’s strategic priorities. Help review and pressure test the acquisition thesis or partnership’s strategic rationale
  • In addition, the Director of Corporate Development will assist in managing various minority equity investments (e.g., venture capital). This includes an existing portfolio of investments as well as new investments that are driven by the business.
  • Address post-closing activities - post-close adjustment determination, escrow releases, dispute resolution, rep and warranty insurance expiration dates, etc.
Venture Capital
  • Manage venture capital investments - participate as a board observer, facilitate relationships between MSI and the venture companies, develop recommendations regarding follow-on investments
  • New investments - partner with the business leaders who are responsible for the creation of the investment thesis and the commercial relationship. Complete financial business due diligence on the target venture company. Lead negotiations of investment documents and side letters. Coordinate business and legal due diligence as appropriate
Desired Skills:
  • Demonstrated ability to proactively, independently and successfully manage multiple highly demanding projects simultaneously
  • Experience interacting with all parties (such as C-suite, investors, bankers, lawyers and other third-party advisors) in a transaction setting - strong writing and speaking skills
  • Firm understanding of excel financial modeling, financial statements and valuation
  • Demonstrated experience in implementing strategies for large, complex global organizations where working across organizations and leading through influence are keys to success
  • Strong business judgment and proven strategic and analytical mindset
  • Experience with venture capital investing and management of investments (preferred)
  • Experience working in a demanding environment with highly motivated and driven professionals
  • This role will require domestic, and some international, travel.
  • Confident, effective communicator with strong executive presence
Basic Requirements
  • 8+ years of experience in corporate development, investment banking, advisory services, venture capital, private equity or management consulting
  • Bachelor’s degree in business, economics, marketing, analytics, engineering or other related quantitative field; MBA or legal degree preferred
