Varian, a Siemens Healthineers Company, whose leading technology, products and software are being used in the fight against cancer, is seeking a Commercial Counsel with 5+ years of experience negotiating, documenting and closing commercial contracts to join its legal team. This position can be remote and will provide commercial legal support to the Varian’s sales, support, service, products, and procurement teams.


Role And Responsibilities


  • Draft, negotiate and close commercial contracts, including but not limited to, sales, support, service, software licensing, SaaS and procurement
  • Prepare and update playbooks, contract review policies and processes and provide related training to sales, sales order management, contract administration and other functional teams
  • Collaborate with cross functional teams including sales, support, sales operations, ethical compliance, regulatory, and finance as well as various business/functional units
  • Communicate and explain positions and counter-positions with executive sales, support and business teams
  • Take on concurrently a portfolio of transactions, deals and contracts
  • Identify risk, address counter-positions, and draft alternative provisions to counter-party questions, concerns and proposed language, including limitations of liability, indemnity, intellectual property, privacy, security, PHI and PII in the context of commercial contracts and business associate agreements
  • Work independently after preliminary training and mentorship to execute all phases of commercial negotiations, drafting and closing of addendums to standard purchase and license terms as well as master purchase and support agreements whether on customer or vendor paper or Varian contract templates


Education /Qualifications


  • Proven ability to think clearly and succinctly and cogently articulate a negotiating position verbally or in writing as well as independently draft contracts and alternative positions in clear, concise language
  • Can do attitude who is willing to take on any matter or project whether large or small, complex or simple
  • Prior experience working at a health care, life sciences, medical device or technology company a plus
  • Licensed to practice law in the U.S.
  • 5+ years of extensive transactional and commercial legal experience with an emphasis on handling and negotiating substantive contract terms for a range of commercial agreements including hardware, software, SaaS, support and professional services and procurement
  • Be a team player who can perform assigned responsibilities with minimal supervision
  • Familiarity with data protection, privacy and ethical compliance issues, HIPPA related to business associates and covered entities is desirable
  • Strong EQ and excellent written and verbal communication skills with proven ability to work collaboratively with multiple stakeholders
  • Ability to handle multiple matters concurrently with little over-sight
  • Juris Doctor degree from an accredited U.S. law school
  • Effective organizational skills and the ability to manage multiple projects and complete them on time and with little supervision
  • Must be practical, results oriented, well-organized, detail-oriented, flexible, with an ability to independently negotiate, draft and close a variety of commercial agreements, including master purchase, service, and procurement agreements (whether or on customer paper or Varian contract templates).
  • Ability to identify, assess and explain risks and independently draft alternative positions and language to mitigate risk
  • Able to thrive in a fast-paced environment and successfully manage multiple deadlines

Min $123,000 - Max $221,400


The pay wage range shown is based on the job posting's primary location. Actual compensation packages are based on a wide array of factors, including but not limited to skill set, experience, certifications, and location.
