Position Summary


Empower Pharmacy has a career opportunity for a detail-oriented commercial Contracts Associate to draft, negotiate, secure, and maintain agreements for the company. The commercial Contracts Associate will also be responsible for innovating and streamlining the company’s contractual review process, and in doing so, will work in unison with senior leaders from across the company.


Duties And Responsibilities


  • Assist and make recommendations in the establishment, implementation, and communication of formal policies, processes, and procedures to govern a supplier contract throughout its life cycle from sourcing through negotiation to termination.
  • Draft, review, and modify, confidentiality agreements, letters of intent, credit agreements, service and supply agreements, equipment purchase agreements, and SAAS/BAA agreements.
  • Amend standardized terms and conditions as needed, for customers.
  • Assist with the on-going development and improvement of systems to support the contract life cycle management policies and process.
  • Provide legal advice on transactional matters in support of the General Counsel.
  • Review, analyze, modify, and negotiate complex contractual documents to achieve acceptable risk levels.

Knowledge And Skills


  • Excellent analytical, verbal, research, writing, and problem-solving skills.
  • Superior contract negotiation, drafting and conflict resolution skills with a deep understanding of commercial contract provisions and contract structures.
  • Demonstrated ability to collaborate as an effective team member and with minimal supervision to maximize team results.


Experience And Qualifications


  • Graduate of an accredited law school.
  • 3-6 years of commercial law transactional legal experience in a law firm and/or corporate legal department
  • Experience with use of document/discovery databases.
  • Understanding of legal terms vs. business terms, including recognizing, identifying and being able to explain business and legal risks, their implications, and solutions.
  • Prior experience in developing and supporting process change across Legal and Business teams to centralize and standardize procurement and commercial contract work for a healthcare company preferred.
