Location: Full-Time REMOTE role based in USA

Hourly Rate: $30-55p/hr (based on experience)

Conduct research and analyze legal and regulatory requirements related to corporate governance and compliance

5+ years of corporate governance paralegal experience gained in an AmLaw100 firm or in-house environment

Strong understanding of corporate governance principles and best practices and familiarity with corporate filings, SEC regulations, and compliance requirements

Maintain and update corporate records, including board and committee minutes, shareholder records, and other governance-related documents

Working knowledge of legal entity management systems, such as hCue, Diligent Entities, and GEMs preferred.

Assist in the management of Stryker’s global legal entities’ governance including holding meetings, appointing board members, and ensuring legal compliance.

Minimum 6 years of relevant experience (non-degreed) or 2+ years of relevant experience with Bachelor’s degree required.

Working knowledge of SEC filings such as Section 16 reports and periodic reports is helpful.

Oversee the coordinated execution of various legal documents.

Perform other functions within the Corporate Secretary function as requested.

Key responsibilities may vary but will generally include:

Assist in the development and maintenance of databases with an eye towards streamlining processes

Over time, build relationships with clients, institutions and relevant third-party firms as opportunities arise

Assist in business development efforts and opportunities

Manage corporate minutes, maintain electronic records and monitor filing deadlines.

Partnering with other departments, including the People and Finance teams, for various projects as needed.

Create capitalization tables and manage Carta.

Prior experience in food manufacturing/technology industries a plus but not required.

Prior experience with electronic portals (Diligent) and (Carta).

Excellent grammar, proofreading skills and attention to detail required.

Provides written and oral legal advice to clients

Anticipates and guards against legal risks involving the organization

Works to ensure budget compliance and avoids the need for outside counsel

Ensures disclosure of potentially material legal issues to senior leadership

Performs other job-related duties as assigned

Member in Good Standing of State Bar

Minimum 7 years of related experience.

Written and oral communications skills with the ability to build rapport within the company, field and /or outside vendors.

Proven ability to be responsive to changing business needs, manage and prioritize concurrent assignments

Excellent communications skills with the ability to build rapport and gain acceptance at all levels

Critically reviews the Investable Structure Reports for risks, watchpoints, tradeoffs, and objective and key result status.

Responsible for documenting and completing changes within the enterprise portfolio and Investable Structures.

Advanced degree or BA or BS plus equivalent job experience required in economics, business, finance, labor relations, legal or related fields.

At least three years (3) of experience leading a team of research staff.

Ability to effectively manage a workload with competing priorities and deadlines, work independently, and take initiative.

Excellent writing, communication, and organizational skills, including drafting communications to a variety of audiences.

Strong computer skills, including Excel and PowerPoint. Familiarity with SharePoint and PowerBI a plus.

Lead ESG analysis, research, and engagements.
