The individual will be part of a legal team responsible for providing day-to-day legal support to the Alternatives business, primarily in the areas of direct real estate, infrastructure, private-equity and liquid real assets related products, and services.
The individual should have private fund expertise and in-depth knowledge of investment management legal issues, including pertinent regulations and guidance on investment advisory issues and U.S. securities laws and familiarity with bank regulations (e.g., Volcker Rule), ERISA and/or derivatives.
The individual needs to have excellent interpersonal and communication skills and will work with personnel from all areas of the business, including, product strategy and development, treasury, marketing, risk, compliance and portfolio management. Strong writing and organizational skills are also critical.
Your Key Responsibilities:
  • Manage outside counsel to ensure the delivery of cost efficient and high-quality legal services.
  • Work closely with other members of the Legal Department and other control functions, both within the U.S. and globally, to identify and resolve issues in a proactive and coordinated manner, including issues relating to legal/regulatory changes.
  • Legal support and advice to be provided across private funds, segregated account mandates and other products as well as on regulatory issues.
  • Day-to-day legal support for the Alternatives business in the U.S. and ancillary support for non-U.S. Alternatives businesses with respect to U.S. legal/regulatory matters.
  • Advise the business on a wide range of legal and regulatory issues relevant to the formation, distribution/marketing and maintenance of fund and separate account products, including (1) negotiation and drafting of various fund documents with assistance from outside counsel (e.g., side letters, limited partnership agreements and investment management agreements) and the negotiation and drafting of other ancillary documents related to the Alternatives business and (2) advising on matters involving relevant regulators, such as the SEC, CFTC and the Federal Reserve.
  • Coordinate as needed with other DWS businesses and DWS Legal Department members in the U.S. and abroad.
Your Skills & Experience:
  • Strong interpersonal and communication skills, with the ability to be a proactive and effective partner to the business and a collaborative team member of the DWS Legal Department.
  • Strong verbal and written communication skills, including drafting skills.
  • At least five years of relevant law firm, financial institution or governmental experience.
  • Candidate must be a member in good standing of the NY Bar.
  • Strong analytical, problem-solving and organizational skills.
  • JD Degree.
  • Knowledge of investment management legal issues, including pertinent regulations and guidance on investment advisory issues in the context of liquid and illiquid alternatives products.
  • Knowledge of relevant laws (e.g., Securities Act, Investment Advisers Act, Investment Company Act, etc.) and related regulations required. Knowledge of ERISA, the BHCA (e.g., Volcker Rule) and/or CFTC regulations preferred.

Expectations
It is DWS’s expectation that employees hired into this role will work in the NYC office in accordance with the firm’s hybrid working model.

The salary range for this position in New York City is $150,000 to $270,000. Actual salaries may be based on a number of factors including, but not limited to, a candidate’s skill set, experience, education and other qualifications. Posted salary ranges do not include incentive compensation or any other type of remuneration.
