The opportunity:

Sun Life’s U.S. Law Department is looking for a Senior Counsel, Privacy, Information Security, and e-Commerce, to join its corporate law practice. In this role, you will serve as the internal expert for privacy, information security and e-commerce matters, supporting all aspects of the company’s U.S. business operations. Your primary responsibilities will be to provide advice and counsel to the organization on legal and compliance issues relating to privacy, information security, data analytics, and e-signatures/e-delivery, and to assist the business and cross functional stakeholders with developing practical and compliant solutions.

How you will contribute:

Working closely with the managing Vice President & Associate General Counsel, the essential functions of this role include:

  • Provide advice and guidance to the organization related to federal and state electronic delivery and signatures laws (including federal ESIGN and state Uniform Electronic Transaction Act). Work closely with the state filing team to draft and review product filings involving electronic delivery/signatures and assist with responding to related regulatory inquiries and objections.
  • Assist with responding to data subject rights requests.
  • Provide advice and guidance to the organization related to federal and state privacy and information security laws and regulations (including HIPAA, Gramm-Leach Bliley, California Consumer Privacy Act, New York State Cybersecurity Requirements for Financial Services Companies, and the Telephone Consumer Protection Act).
  • Stay abreast of new laws and regulations, including through participation in relevant industry groups. Evaluate the impact of new laws and regulations on contracts and business practices, and provide proactive advice to the business.
  • Draft, review and negotiate vendor, client and distributor privacy and data security agreements, business associate agreements, and other similar agreements. Provide related guidance and support to the business, Legal, Compliance, and Procurement.
  • Provide legal advice and guidance to the compliance and incident response teams to evaluate privacy and data security incidents and notification obligations under U.S. information security and data breach laws and HIPAA.
  • Provide day to day legal counsel on data collection, use, disclosure, and analytics practices.
  • Oversee the process for identifying external law firms that require information security assessments and coordinate with IT security, Risk, and internal law firm relationship managers to address risk remediation.
  • Serve as the primary legal contact on a variety of digital matters and initiatives. Draft online terms of use and other online disclosures.
  • Engage and manage outside counsel as necessary.

What you will bring with you:

  • Demonstrated ability to establish excellent team-oriented and collaborative interpersonal working relationships.
  • J.D. degree and a member in good standing in a United States jurisdiction.
  • A hands-on, collaborative and curious learner, proactively engaged to keep up with a dynamic and changing business and legal landscape.
  • Demonstrated ability to handle multiple and changing priorities in a fast-paced environment.
  • Strong analytical, legal research, writing, and communication skills.
  • Excellent attention to detail.
  • CIPP or similar certification by the International Association of Privacy Professionals a plus.
  • Demonstrated ability to apply relevant laws to matters and provide proactive, practical advice to colleagues and business clients in a clear and concise manner.
  • At least 5 years of relevant legal experience with a strong preference for knowledge and experience in insurance and/or financial services.

If you are a California resident, the salary range for this position is:

  • Central region: $176,300 - $264,500 annually
  • Northern region: $188,500 - $282,700 annually
  • Southern region: $167,200 - $250,800 annually


If you are a Colorado resident, the salary range for this position is $159,600 - $239,400 annually.


If you are a New York resident, the salary range for this position is $188,500 - $282,700 annually.


If you are Washington resident, the salary range for this position is $176,300 - $264,500 annually.
