Job Description
The Sr. Paralegal is responsible for gathering, preparing, and summarizing relevant materials for use by attorneys and other legal counsel. Will lead strategic and tactical corporate legal initiatives; maintain case files; perform legal research; index and track documents. In addition, the paralegal will be responsible for reviewing and drafting agreements, facilitating business transactions, and assisting with managing and ensuring compliance of the Company in general and other duties as assigned.


The Sr. Paralegal would also provide support to the sales team through updating and maintenance of manufacturer and dealer licenses, dealer agreements, legal issue spotting for dealer issues, and updating and maintenance of sales terms and conditions. The paralegal would provide enterprise support in the form of contract management (primarily sales contracts, but others as well including financial agreements) and international party screenings and audits of our international screening database. The paralegal would provide additional administrative and project support for the legal team, including enterprise risk management infrastructure support.


Your Responsibilities:


Corporate legal team support:


  • Provide administrative support for attorney(s)
  • Work within e-billing system – upload and approve invoices, run reports, open matters, and maintain matter information
  • Prepare and review confidentiality agreements with attorney supervision
  • Assists in preparing legal documents such as legal arguments, motions, contracts, and agreements
  • Prepare, run, and provide various quarterly and monthly reports
  • Assist attorney(s) with transaction closings and maintenance of corporate records
  • Assist and maintain all corporate records
  • Review and maintain all agreements entered by the company
  • Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on all legal matters
  • Retrieve documents, from appropriate internal departments, requested by Wabash outside counsel and act as contact for outside counsel to communicate with internal employees
  • Other duties as assigned


Dealer program management support


  • Support dealer program quarterly status meetings, keep minutes and monitor for legal risk
  • Support process for updating dealer agreement and agreement execution process
  • Support manufacturer, distributor, dealer license needs for Wabash and its subsidiaries


Contract Management


  • Support the evaluation of contract management system vendors
  • Support contract management system design and implementation
  • Support the scoping of business requirements for a contract management system for sales, finance, real estate, NDA contracts, etc.
  • Provide ongoing contract management support, first manually and then via system


Sales terms and conditions/contracts


  • Update terms and conditions of sale and warranty terms in online locations
  • Drive business requirement gathering for updates to terms and conditions of sale and warranty for annual refresh process
  • Support purchase agreement drafting (from Wabash template) or initial review of third-party template to prepare for attorney review


International business


  • Audit screening tool records against lists of current international suppliers, customers, and technology/R&D partners
  • After receiving training, support updating and monitoring of international screening tool


Provide additional administrative and project management support to legal team


  • Support document retention/destruction efforts for enterprise
  • Document management support for legal team
  • Support compliance program infrastructure as needed
  • Support Deputy General Counsel meeting schedule and meeting preparation
  • Enterprise risk management infrastructure support – minutes, dashboard update collection


Requirements:


  • Ability to interact with people at all levels of the corporate structure, prioritize and handle numerous competing demands in a high-volume, fast paced working environment
  • Excellent communication and organization skills
  • Proficient in Microsoft Office
  • Associate’s Degree required, Bachelor’s Degree preferred
  • Proven ability to work effectively in independent settings
  • Ability to identify, resolve or escalate issues in a timely manner
  • Minimum 7 years of corporate paralegal experience
