Job Description

The Role

What is the purpose

The Legal Counsel CP, Wells & IT sits within the global Legal Services Projects & Technology and Intellectual Property (LSPT & IP) CP, Wells, and IT legal team. Legal Counsel CP, Wells & IT will provide professional, timely, cost effective and practical legal advice and support to the C&P, IT and Wells organizations, primarily in the United States and across the Shell value chain (upstream, wells, integrated gas, renewables, trading, downstream, chemicals, and global commercial), with a focus on wells procurement (drilling rigs and services).

The Legal Counsel may be asked to support other regions or projects as agreed with the Managing Counsel CP & Wells.

What is the role

As a Legal Counsel, you will be responsible of the following duties:

  • Engage and collaborate with Shell lawyers globally across the function
  • Commitment to and focus on continuous improvement and simplification of legal guidance and self-help materials for CP (Contracting and Procurement), Wells, and IT through the application of IT and Digital tools and role modelling of behavior and mindset required of a supply-led legal organization
  • Legal activities are expected to include: (i) advice with respect to proposed commercial strategies; (ii) advising on legal rights and obligations under existing contractual arrangements; (iii) the negotiation and drafting of contracts and other documentation; and (iv) resolution of legal and business problems encountered in the promotion of business interests and the protection of its assets and reputation
  • Ensure that legal risks are identified, appropriate alternative structures and strategies are considered, and documents are appropriately drafted to reflect commercial decisions, always consistent with professional standards, legal obligations, the Shell General Business Principles, and the Shell Control Framework
  • Protect Shell's interests and enhance Shell's reputation and brand by providing sound legal advice, assisting with negotiations, and drafting legal agreements
  • Ensure that legal considerations, including mitigation of legal risks identified, are considered in operations, planning activities, and contracting
  • Deliver according to Legal’s supply led model and focusing on and prioritizing high value and risk matters
  • Monitor relevant legal developments and communicate these to the business

Requirements

What we need from you

  • Law degree and professional legal qualification in Texas
  • Excellent business acumen, risk assessment ability and ability to balance competing interests of businesses at varied stages of their evolution
  • You must have legal authorization to work in the USA on a full-time basis for anyone other than current employer
  • Ability to clearly explain legal risks, develop sound mitigation strategies and find acceptable commercial solutions
  • Ability to work with both internal and external stakeholders with diverse external background
  • Minimum of 3 – 5 (three to five) years of experience in Commercial, Corporate Legal in a private firm, or in-house legal department
  • The ability to work in a less well-defined legal environment with clients who need pragmatic legal advice
  • Excellent analytical, communication and interpersonal skills
  • Resilience to keep a calm and balanced approach and maintain a robust stance in respect of allocation of risk for Shell, while balancing that with the commercial and strategic drivers
  • Astute risk and reputational management skills, and requires the ability to deal with, prioritize and manage multiple tasks and projects
  • A clear commitment to the highest standards of ethical and compliant behavior as well as inclusive leadership, modeling behaviors that supports a commitment to Ethics and Compliance and Diversity, Equity, and Inclusion
  • Incisive grasp of legal issues, demonstrated learner mindset and capability to expand knowledge in relevant areas of law
