Position Purpose

This position reports to the AVP Franchise, Legal. The candidate would work with the Legal Team (Attorneys, Paralegals, and Legal Administrative Assistant), Senior Management, and other internal and external business partners on legal matters involving all aspects of the business, which would include a wide range of corporate and commercial transactions, particularly those involving franchising. The Franchise Paralegal is responsible for coordinating, preparing, and maintaining legal documents related to, but not limited to, franchising, marketing, trademarks, and other legal matters and activities. The candidate should be detail-oriented, organized, efficient and must work well independently and as part of a team.

Responsibilities

• Communicate and provide other departments with information regarding franchise agreement information.
• Facilitate the execution of documents by franchisees and prospective franchisees and the Company.
• Support AVP Franchise, Legal on general Company legal matters.
• Effectively communicate with franchisees regarding franchise-related and other matters.
• Assist in managing the franchise compliance process, including franchise ownership, entity formation, resolutions and related documents, Franchise Agreement key dates and milestones.
• Assist in maintaining all legal documentation, electronic files, and databases to ensure current and accurate information is available for audits.
• Undertake special assignments, including research, review, and analysis of contracts and other issues, as requested.
• Respond as necessary to miscellaneous franchise development, operational issues, and legal matters.
• Assist Legal Department and outside counsel in filing the Franchise Disclosure Document (“FDD”), FDD amendments, and renewals as well as other state required documents.
• Work with the franchise business team and their administrative staff as well as with existing and prospective franchisees in conducting due diligence and obtaining required information for completion of franchise documents (including franchise and Franchise-related agreements and amendments and other agreements).
• Assist in administering and issuing default, termination, and expiration notices and settlement agreements.
• Work with AVP Franchise, Legal on existing and upcoming franchise legal matters.

Qualifications

• Ability to present ideas and information in a clear, concise manner in both writing and verbally; and
• Ability to work independently and as part of a team.
• Paralegal certificate a plus but not required.
• Strong organizational and project management skills and ability to meet simultaneous deadlines in a fast-paced environment.
• Knowledge of SmartSheet is a plus.
• Familiarity with database functionality and operation.
• Associate or bachelor’s degree required.
• 5+ years of experience as a franchise paralegal.
• Ability to interact effectively and develop positive, professional working relationships with franchisees, outside counsel, legal team members, and Company business partners.
• Excellent interpersonal skills and ability to interact and communicate effectively, specifically:
• Proficiency in Google Workspace, MS Word, and Excel.
• Excellent judgment and use of discretion.
• Diligence, dependability, and strong work ethic.
• Superior attention to detail.
• Knowledge of franchising in Canada is a plus.
