Corporate Paralegal Jobs

The Law Offices of Destiny Aigbe PLLC is looking for a Corporate Finance and Securities Paralegal. This position will play a key role in supporting the firm’s principal attorney in federal and state securities work related to capital raises and going public transactions such as initial public offerings or reverse mergers. This position will report directly to the head attorney. The position is 80% securities and 20% corporate finance and M&A work.

RESPONSIBILITIES

For Registration Statements under Federal Securities Laws:

• Proof drafts and final copy
• Draft for attorney review portions of the registration statement and prospectus, as appropriate.
• Work with various agencies to obtain CUSIP number, NASDAQ listings, and listing in Standard & Poors’ and Moodys Securities Manuals
• Coordinate the timely filing of the registration statement, or amendment, and exhibits with the Securities and Exchange Commission (“SEC”) via Edgar
• Assemble and file registration statement, amendments and post-effective amendments, including

For Private Placement Memorandums:

• Legend requirements;
• Draft for attorney review portions of the Private Placement Memorandum.
• Draft for attorney review and file Federal Notice of Sale of Securities on Form D
• B. Filing and fee requirements; and
• Draft for attorney review the Blue-Sky memorandum.
• Assist in drafting/compiling/finalizing documents, including board and shareholder resolutions, corporate organizational documents, articles of incorporation, stock option agreements and certificates, capitalization tables, etc.;
• Research State Blue Sky law exemptions for private placements, including:
• C. Broker-Dealer and salesmen requirements/exemptions.
• Draft for attorney review offeree questionnaire and subscription agreements.
• Research Federal exemptions for applicability.

• Assist with company formations and dissolutions, restructurings, and mergers and acquisitions matters;
• Assist with other activities as needed, and perform additional duties and responsibilities as assigned.
• Draft SEC and public company reports. If required, prepare SEC filings, both corporate and Section 16, and with regard to securities offerings; respond to the requirements of the Securities Acts of 1933 & 1934 filings; prepares Rule 144 opinion letters; assists with preparation and organization of documents related to public company transactions; drafts Form S-8s, etc.;
• Schedule meetings and maintain calendars;
• Maintain compliance with SEC/NYSE/OTC rules and conduct related legal research;

• Excellent communication, organizational skills, and the ability to thrive in a fast-paced, rapidly changing environment;
• Fast and eager learner. Demonstrated ability to gain knowledge of the business and become an integral business partner.
• Excellent working knowledge of Microsoft PowerPoint, Word, Excel and online research tools; willingness to own/maintain relevant software;
• Ability to problem solve and think critically with minimal supervision
