Job Description

Responsibilities

Base Salary Range: $165,000 - $302,200
Base salary range does not include overtime pay, bonus and/or other benefits, where applicable. Actual base salary offer will vary based on skills and experience.

The mission of the SGUS Legal Department is to protect SG from legal, regulatory, reputational and other risks, while at the same time assisting the SGUS business units in the achievement of their legitimate business interests by providing legal advice, drafting and reviewing legal documentation and ensuring that business is conducted in compliance with relevant laws and regulations. The SGUS Legal Department is also responsible for (a) overseeing US litigation, enforcement actions and those investigations deemed to be under the scope of responsibilities of the SGUS Legal Department; (b) promoting strong and ethical legal culture within SGUS; and (c) identifying and taking relevant steps to mitigate legal risk arising in SGUS. Accordingly, the SGUS Legal Department seeks to provide effective and quality legal services and representation to SG on all matters having legal and regulatory significance to the management, businesses or operations of SG in the United States. The SGUS Legal Department works closely with the Group Legal Department in Paris to ensure timely and effective implementation of Global Legal Function policies and procedures, and to coordinate, where necessary or appropriate, on all cross-border business transactions and activities.

The Bank Regulatory Group provides advice and counsel on bank regulatory topics relating to SGUS business. The ideal candidate to join the Bank Regulatory Group must be familiar with U.S. bank regulation as it is applied to foreign banks operating in the U.S. banking and be able to provide advice on it.

RESPONSIBILITIES

  • Participate in various internal committees and forums relevant to bank regulatory matters
  • Regularly interface with business lines and support functions to advise and assist with various bank regulatory issues, providing useful, dependable advice
  • Report directly to the Legal Group Head – Bank Regulatory
  • Participate in and support the SGUS regulatory change program by monitoring legal and regulatory developments of regulations and interpreting new regulatory requirements for other stakeholders in the firm. Where necessary, ensure that internal policies and procedures are appropriately updated
  • Participate in implementation or remediation projects related to new or amended bank regulations
  • Providing guidance to the Legal Group Head – Bank Regulatory and the firm on all bank regulatory matters
  • Represent SG in industry groups (SIFMA, ISDA, IIB) discussing proposed new regulations or changes to existing regulations
  • Assist in the monitoring of remediation projects
  • Conduct legal research and provide analysis of issues arising under the U.S. federal and state banking laws and regulations applicable to SG’s U.S. operations
  • Draft responses to letter or inquiries from banking regulators
  • Review and prepare internal memos on significant transactions, potential risk considerations and other relevant matters

Profile required

TECHNICAL SKILLS

Required/Must have:

  • Fluency in English
  • Excellent legal research skills
  • Strong knowledge of the International Banking Act, the Bank Holding Company Act, the Federal Reserve Act, the National Bank Act, the Riegle Neal Act, the Gramm Leach Bliley Act, the Dodd Frank Act and New York State Banking Law. Mastery of Federal and New York State bank regulations, with particular expertise in Regulations K, W, Y and YY
  • Basic computer (Microsoft Word, PowerPoint, Excel, etc) skills

Desired/Plus:

  • Knowledge of non-banking regulation, especially SEC, CFTC, FINRA and NFA.
  • Subject matter expertise in derivatives, sales & trading, futures trading sales and trading regulation and practices
  • PowerPoint and Excel knowledge

  • Transactional experience
  • Previous experience working at a U.S. bank or foreign bank operating in the U.S.
  • Subject matter expertise in derivatives, sales & trading, futures trading sales and trading regulation and practices

PRIOR WORK EXPERIENCE
Required/Must have:

  • At least 5 to 10 years experience at a U.S. law firm or relevant in-house or government agency experience in banking regulation

Desired/Plus:

  • Previous experience working at a U.S. bank or foreign bank operating in the U.S.
  • Prior work experience directly dealing with the FRB or DFS
  • Fluency in French

EDUCATION

Required/Must have:

  • Member, New York State Bar
  • Law degree (Juris Doctor) from U.S. law school or equivalent
  • Undergraduate degree from a four-year college or university

Desired/Plus:

  • Additional educational credentials relevant to the financial services industry
