Corporate - Legal and Compliance


The PGIM Investments Law Department is seeking an experienced asset management attorney to join a team of lawyers that supports PGIM Investments. PGIM Investments is an SEC registered investment adviser that offers investment strategies across global markets and is a business of PGIM. PGIM is the global asset management business of Prudential Financial, Inc., with more than $1.4 trillion in assets under management. PGIM Investments overseas four registered fund complexes, including the PGIM Retail Funds and the PGIM Alternative Funds. The PGIM Retail Funds include open-end funds, exchange-traded funds (ETFs) and closed-end funds. The PGIM Alternatives Funds is a newly formed alternative fund complex that will include a business development company (BDC) and an unlisted, tender offer fund. The PGIM Investments Law Department provides legal advice across a range of issues impacting PGIM Investment’s investment management business and works closely with colleagues across PGIM Investments, including compliance, operations, fund administration, marketing, product, and finance as well as colleagues across PGIM’s and Prudential’s law and compliance groups, fund counsels and trustee counsels. The attorney will primarily support the PGIM Retail and Alternatives Funds complexes, including serving as the primary senior legal contact for these two Boards, fund development, regulatory matters and supervising attorneys in the PGIM Investments Law Department.


Job Responsibilities Will Include


Managing and/or supervising the preparation and filing of mutual fund registration statements on Forms N-1A, N-2 and N-14, as well as other federal securities filings (such as tender offers, proxy statements and prospectus supplements) and interacting with SEC staff. Providing legal advice to internal business clients on investment company, investment advisory and regulatory issues in developing new funds and supporting existing funds. Drafting and reviewing Board materials, attending Board meetings and coordinating with senior management within PGIM Investments and PGIM relating to various matters. Advising and implementing new rules and regulatory developments. Providing legal support for responses to regulatory inquiries. Reviewing sales literature for the funds; providing legal support for responses to requests-for-proposal, due diligence requests and participate in diligence calls with intermediaries. Drafting and negotiating investment management agreements, vender agreements and other similar agreements for the funds or PGIM Investments. Supervising and managing members of the PGIM Investments Law Department. Coordinating regulatory matters across multiple global platforms. Assisting in special projects as needed.


The Successful Candidate Will


  • Have a J.D. degree, be admitted to practice law in New Jersey (or must be obtained within 12 months) or obtain the New Jersey In-House Counsel License within 18 months.
  • Have strong analytical, drafting and negotiating skills.
  • Have extensive and substantial experience with the Investment Company Act of 1940. Knowledge of BDCs, ETFs and other alternative funds helpful but not required.
  • Be able to work well with people at all levels of the organization, as well as people outside of the organization.
  • Have at least ten years of legal experience in a law firm and/or in-house legal department.

Note: Prudential is required by state specific laws to include the salary range for this role when hiring a resident in applicable locations. The salary range for this role is from $235,500.00 to $318,600.00. Specific pricing for the role may vary within the above range based on many factors including geographic location, candidate experience, and skills. Roles may also be eligible for additional compensation and/or benefits. Eligibility to participate in a discretionary annual incentive program is subject to the rules governing the program, whereby an award, if any, depends on various factors including, without limitation, individual and organizational performance. In addition, employees are eligible for standard benefits package including paid time off, medical, dental and retirement.
