Job Description
Job Summary:
The Transactional Paralegal reports directly to the Senior Corporate Counsel in Virtua Health’s Office of the General Counsel (OGC) and supports Virtua Health representatives engaged in transactions involving the health system, including, among others, Virtua Business Development, Virtua Health senior leadership, and the OGC. The Transactional Paralegal supports mergers and acquisitions and other complex corporate transactions, including, but not limited to, strategic investments, corporate affiliations, joint ventures, and divestitures. The position’s duties include, but are not limited to, supporting pre-closing activities, post-closing governance matters and other post-closing activities, investment portfolio monitoring and maintenance of internal transactions documents and databases, and coordinating regularly with Virtua Health’s outside transactions counsel. The Transactional Paralegal must have transactional experience and the ability to work independently with a high degree of organizational and analytical skills appropriate for the role.
Position Responsibilities:
Support Virtua Health’s transactions, including monitoring pre-closing checklists, assisting to obtain pre-closing regulatory and other government/third party consents, handling pre-closing activities as assigned, monitoring and reviewing due diligence (including preparation of due diligence/document summaries), facilitating final document execution activities, and updating and maintaining electronic closing binders.
Maintain databases of corporate and governance documents related to Virtua Health’s transactions. Address questions from Virtua representatives concerning transaction-related governance matters, including reviewing and interpreting applicable governing documents.
Prepare and maintain informational dashboards containing transaction details that will assist the OGC and Virtua Health leaders in understanding, managing and developing strategies regarding current and future transactions.
For Virtua Health attorney and/or outside counsel review, assist in preparing drafts of transactional and related corporate documents.
Prepare and file public records, including entity formation documents, change notifications and business certificates, and prepare filings related to dissolutions, withdrawals, and real estate.
Other duties as assigned.
Position Qualifications Required :Required Experience:
A minimum of 7 years’ paralegal experience, which includes a minimum of 5 years with a law firm performing work directly relevant to the job duties of the Virtua Transactional Paralegal position.
Excellent computer and legal research skills (i.e., Westlaw) as well as proficiency with Word, PowerPoint, Excel, Outlook, etc.
Proactive and proven success at meeting deadlines independently. Detail-oriented and high ability to prioritize workload in a fast-paced legal/corporate work environment.
Excellent verbal and written communication skills; must have a high level of legal writing skills.
Ability to work independently, and as a collaborative team member with individuals at all organizational levels.
Required Education:
Bachelor’s Degree required.
Training / Certification / Licensure:
Either (i) a college / university major or minor in paralegal studies or (ii) a college / university degree without a legal-related major or minor and a paralegal certification from an accredited program.
