Job Description

Under limited supervision, the paralegal will assist attorneys in the performance of preliminary or specialized legal tasks. Supporting Bracco Medical Technologies’ (“BMT”) cardiovascular and diagnostic imaging businesses, this role requires independent work on a variety of complex matters which require strong organizational skills, the ability to work in a complex, fast-moving environment with the confidence to independently identify legal issues and make recommendations. Working collaboratively and fostering positive relationships with internal business partners as well as a variety of third-party vendors is critical. This position requires a driven and self-motivated individual with a strong desire for learning and operating within a supportive team environment. The primary geography to be supported is the United States.


Primary Duties & Responsibilities:

  • Assist the General Counsel or Senior Corporate Counsel with other projects as assigned.
  • Provide supplemental support on budget and invoice maintenance as may be requested by legal administrative assistant.
  • Collaborate with other groups on multi-disciplinary projects, which may include Sales, Service or Operations.
  • Other administrative duties as may be assigned.
  • Independently prepare, revise, and draft consulting agreements, health care provider consulting agreements, distribution agreements, amendments and other business documents and agreements as directed. This includes but is not limited to the review and redline response of non-disclosure agreements , service and sales agreements, as well as other business documents.
  • Manage contract databases, contract and life cycle management and required legal. Work in collaboration with legal administrative assistant accomplish tasks necessary for contract management and retention.
  • Draft legal correspondence, review and respond to internal business questions and concerns; gathering any additional information that may be necessary to address an outstanding legal issue or concern. This may include responding to third party customer inquiries. If the business issue is of a legal nature, this may require additional monitoring of said issue.
  • Support in the creation of legal tools, processes, and templates, playbooks. This may include annual or bi-annual review of existing templates for necessary updates and changes to ensure consistency and meet standards as prescribed by BMT affiliates and current law.
  • Annually review registered agent services and invoices for accuracy as well as any required corporate filings, which may include but is not limited to annual report filings, complete secretary of state filings and annual corporate licensing requirements. Assist with obtaining and distributing notarizations, apostilles, legalized documents and corporate filings. Work in collaboration with legal administrative assistant to accomplish tasks necessary.


Qualifications (Knowledge, Skills & Abilities):

Minimum

  • Experience with contract review, analysis and drafting, this includes but is not limited to experience with redlining agreements, deciphering between legal and business issues.
  • 5 -7 years' experience as a Paralegal in a law firm and/or corporate environment or commensurate experience.
  • Familiarity with formatting of legal documents and general legal terminology.
  • Knowledge and proficiency to use personal computers and advanced knowledge of related software such as Microsoft Office Word, Excel, PowerPoint and Outlook.
  • A self-starter with the ability to work independently, manage multiple competing projects, take initiative, and prioritize projects and expectations to meet deadlines.
  • Ability to handle sensitive and proprietary information with discretion and confidentiality.
  • Ability to work collaboratively as part of a team with excellent communication and interpersonal skills.
  • Previous experience providing paralegal/legal /contract review and analysis.
  • Prior experience and or familiarity with medical device and/or healthcare industries.
  • Ability to manage and resolve conflict effectively, which includes identification of key issues and moving projects forward through final execution.
  • Basic understanding and knowledge of HIPAA and other privacy regulations.
  • Ability to determine methods and procedures for the new assignments and projects, this includes but is not limited to identifying internal stakeholders and resources necessary to accomplish a given task.

Preferred:

  • Basic knowledge of state and federal laws and regulations which may include but is not limited to application of Anti-Kickback and Sunshine Act.
  • Paralegal Degree or Certification from an approved accredited paralegal program.
  • Experience with review and analysis of medical device or healthcare industry related marketing material.
  • Experience managing corporate/state filings.
  • Skills and ability to motivate and work with others to achieve desired results.
  • Knowledge and experience with distribution and GPO
  • Bachelor’s degree or other relevant post-secondary education.
