Contribute to the overall success of the U.S. Corporate Secretary Office and U.S. Legal teams, supporting their respective corporate governance objectives


Is this role right for you? You will be responsible for:


  • Respond to internal and external requests (e.g., Internal and External Audit, Regulatory Relations, Compliance, Corporate Functions, etc.)
  • Assist with Annual Committee Assessment process
  • Assist with preparing and filing annual reports and other state filings
  • Routine Corporate Secretary Support
  • Provide general assistance to the U.S. Corporate Secretary and Legal teams with respect to FRB FR Y-10 reporting obligations and attestation processes, including associated recordkeeping, liaising with internal counterparts with respect to reportable information, and tracking/managing completion of training by designated employees
  • Assist with management internal controls documentation and processes
  • Provide general assistance with U.S. Board and Committee meetings, including managing meeting calendar and invites, planning Board dinners, providing high-touch support to external Board members as needed, posting materials to Diligent Board portal, coordinating pre- and post-meeting follow-ups, and other responsibilities, as directed
  • FRB FR Y-10 Regulatory Reporting
  • Other responsibilities as directed
  • Champion a customer focused and inclusive culture to deepen client relationships and leverage broader Bank relationships, systems and knowledge
  • Assist with internal records management for U.S. Corporate Secretary’s Office, including assistance with updating corporate minute books and electronic records management systems
  • U.S. Management Committees / Steering Committee Annual Assessments
  • Board and Management Committee Meetings
  • Serve as integral member of the U.S. Corporate Secretary Office, which aims to provide high-quality corporate secretary services to Scotiabank’s U.S. operations, particularly to its U.S. Boards and senior management committees


Do you have the skills you need to succeed? We'd love to work with you, if you have:


  • Ability to work independently and thrive in team environment
  • 5+ years of corporate secretary or corporate paralegal experience, preferably at a large financial services firm (or other highly regulated organization) or law firm
  • Professional, polished and confident demeanor
  • Bachelor’s degree or Paralegal Certificate
  • Proficiency in MS Office; experience with legal entity management databases and Board portals a plus
  • Good judgment and ability to recognize when to ask for help or escalate
  • Ability to handle confidential/sensitive information.
  • Exceptional organizational skills, with close attention to detail and ability to balance multiple workflows
