Position Summary


Reporting to the Associate General Counsel, the Legal Operations and Contract Manager will be responsible for providing general legal support to the Legal Department. The Legal Operations and Contract Manager will work cross-functionally, internally and externally, to support the ongoing operations of all aspects of the Legal Department and primarily support the corporate and contracts functions of the CRISPR Legal team.


Responsibilities


Corporate matters support


  • Assist with corporate filings and applications, such as foreign qualifications
  • Assist with drafting corporate governance materials, including powers of attorney and other documents as requested; prepare and circulate signature packets
  • Assist with legal due diligence, including organizing, managing and administering the Company’s data room
  • Maintain and organize legal files on document management system, as well as maintain physical and electronic corporate record books
  • Assist with board matters, including administration of board portal and collection and distribution of annual questionnaires


Contracts support


  • Draft and negotiate standard agreements and documents commensurate with experience, including confidentiality agreements, consulting agreements, master services agreements, statements of work and amendments
  • Assist legal team members with drafting and negotiation of other contracts and documents upon request
  • Administer, manage and train users on contract management system
  • Maintain standard contract templates and manage contract workflow and approval process, including verifying that internal requirements are met and securing required signatures


Public company support


  • Assist with the preparation and filing of Securities and Exchange Commission disclosures, including Section 16 filings, periodic reports, current reports and proxy statements


General operations support


  • Entering invoices into Oracle, process invoice approvals and support the budgeting process for the Legal Department
  • Partner with Finance to track budgets, expenses, and reconciliation of external legal spend
  • Other tasks and responsibilities as assigned, commensurate with experience
  • Administer various enterprise-wide legal team systems, including contract management, document management, intranet and data room


Minimum Qualifications,


  • Proficient in the use of various enterprise-wide contract management and other systems.
  • Strong organizational and project management skills with high level of attention to detail and accuracy.
  • Experience maintaining corporate records.
  • Excellent interpersonal skills with the ability to interact and collaborate with internal stakeholders and external vendors.
  • Must be a self-starter who possesses the ability to work independently and as part of a team.
  • BA/BS degree with at least 3-5 years of experience or an advanced degree with 2-4 years of experience and a Paralegal certificate or degree from an accredited law school with 1-2 years of experience in-house or at a law firm.
  • Strong written and verbal communication skills and demonstrated ability to appropriately prioritize competing demands.
  • Ability to handle confidential and proprietary information in a discrete and professional manner.


Preferred Qualifications


  • Prior experience working in a legal department as a paralegal or attorney in the biotechnology/pharmaceutical industry
  • Experience handling securities law filings
  • Experience as contract management software administrator
  • Notary Public or willingness to become one
