ABOUT THE OPPORTUNITY

NP Digital is seeking Inhouse Corporate Legal Counsel with a diverse background and a combination of legal and business acumen.

We are searching for a professional who can take the lead on contract drafting and negotiations, compliance, employment matters, intellectual property protections, and pre-litigation risk management, liaising with outside specialists as needed. Relevant background may include contract law, IP law, tax law, and employment law. The ideal candidate must be experienced, energetic, and eager to contribute in a fast-paced, high-growth environment. It will be essential to understand or learn the professional services business model, the unique legal considerations relevant to Digital Marketing firms, and the interaction of legal advice and business strategy.


ABOUT THE
RESPONSIBILITIES

  • Interfacing with both clients and internal departments to negotiate or communicate contract information
  • Implementing and enforcing standards for contract review, preparation, and processing, including negotiation guidelines, new standard form contracts/templates, and timelines for processing
  • Manage all third-party contract support, including temps and outside counsel, as necessary
  • Proactively engage and work collaboratively with internal stakeholders to develop appropriate contract-related risk tolerances and to advise them on contract terms and obligations, interpretations, commercial implications, business risks and related regulatory requirements
  • Provide general legal support and guidance to the Procurement Team and assist them in the evaluation and development of a formal contract management platform
  • Using good judgement and experience to evaluate contract risk, resolve complex contracts and compliance challenges within established risk guidelines, and escalating questions to senior management when necessary
  • Plays a hands-on role in preparing, reviewing, and negotiating a variety of corporate contract agreements with banks, lenders, clients, vendors, and partners as needed. These will include Master Services Agreements, Vendor Agreements, Employment Agreements, Non-Disclosure Agreements, Distributor Agreements, Purchase Orders and Scopes of Work/Services
  • Work closely with internal clients to redline and negotiate simple and complex contracts
  • Work closely with outside counsel and other team members for the development and inclusion of specialized contract provisions and negotiations
  • Draft, review, and negotiate enterprise-level agreements including SaaS and Software agreements, partner agreements, vendor agreements, and other agreements and documents related to security, product support, and data privacy
  • Support contract-related M&A due diligence activities
  • Identify, develop and implement best practices and improvements to the contracting process, contract management strategy and workflows, including creating and revising standard contract terms and templates, contract review processes and guidelines, etc


ABOUT YOU

  • Willingness to make decisive recommendations that balance legal guidance with the company’s strategic goals
  • Excellent interpersonal skills, commitment to client service, and the ability to build relationships with stakeholders, including business team members across the Company and outside vendors and consultants
  • International experience a plus
  • 5+ years’ experience counseling business stakeholders on a variety of commercial matters (as either in house or outside counsel), with at least two years’ experience as counsel to a technology firm, a start-up, or a similarly dynamic environment
  • J.D. from an ABA-accredited law school and membership in good standing in at least one US jurisdiction
  • Ability to handle complex situations under pressure
  • Ability to understand and clearly explain risk in various scenarios
  • Desire to learn and adapt to new challenges
  • Ability to handle privileged, confidential and sensitive information in an appropriate and professional manner
  • Creative thinker with strong problem-solving skills and the ability to stay calm under challenging circumstances
  • Ability to handle multiple assignments simultaneously, with effective resolution of conflicting priorities
  • Strong attention to detail and an ability to think critically, creatively and outside-the-box on issues, rather than applying a prescribed approach
  • Exceptional written and verbal communication skills
  • 5-7 years of relevant experience, including in-house and/or law firm experience
  • Attention to detail, ability to work independently and as part of a team, and excellent organizational skills

ABOUT
THE COMPENSATION

  • Base Salary: USD $160,000.00 to $180,000.00; depending on experience and skills
  • Discretionary annual bonus: Up to 10% of annual salary
