GENERAL STATEMENT:
Corporate Counsel
Tutor Perini Corporation ("Company") seeks an attorney with 3 or more years of law firm, corporate (in-house) or equivalent experience to join the Company's Legal Department supporting the Company's operations, including construction litigation, construction contracts and the general corporate work for a public company, including corporate governance, securities law, M&A and corporate finance. Candidates should have prior experience in at least one of these three areas (construction contracts, litigation or public company corporate work). Candidates should possess excellent academic credentials, and have strong writing, analytical, organizational, leadership and communication skills.
RESPONSIBILITIES:
Under the supervision of the General Counsel,
Contracts and Operational Support
- Assist the pursuit teams to ensure all necessary documents and funds are timely and properly completed, executed, received, delivered and distributed.
- Advise internal client groups and senior management on contract interpretation, dispute resolution, legal issues related to the construction of projects, corporate governance and other legal risks .
- Review, structure, draft and negotiate commercial agreements in a broad range of transactional disciplines, including purchase orders, consulting/professional service agreements, construction n . agreements, employment agreements , project operating agreements, joint venture agreements, and other organizational documents.
Litigation Management
- Create reports regarding litigation status, claims , and expenses and effectively present information to senior management.
- Assess merits of cases and recommends settlement of matters when warranted. Cost-effectively manage outside counsel to ensure quality and value driven legal advice as well as assist outside counsel in matters of research, litigation, and pre-trial work.
- Work with Human Resources Department and outside counsel on a variety of labor and employment issues .
General Corporate
- Provide corporate governance support, including preparing corporate resolutions and meeting materials.
- Assist with SEC reporting and compliance, including periodic reports, Section 16 compliance and Company's insider trading policy.
- Help to improve contracting processes and management, including developing internal policies regarding the same .

- Gather and evaluate internal and external information, and perform legal research and analysis, to determine whether the Company's actions or processes comply with company policies, laws and regulations.
- Assist with policies , practices and reporting on ESG (environmental, social and governance) initiatives.
Other duties as assigned or requested.
REQUIRED KNOWLEDGE, SKILLS AND ABILITIES (KSAs):
- A strong work ethic, attention to detail and sense of professional accountability.
- Able to handle multiple assignments, work well under pressure, and have the flexibility to assist the team in meeting client demands on accelerated schedule
- Self-starter; entrepreneurial, "roll up your sleeves" attitude .
- Any combination of training, experience, skills and other characteristics that would provide the requisite knowledge and abilities in support of the essential job functions.
- Strong business acumen
- Exceptional legal drafting, research and analytical skills.
- Highly effective written and verbal communication skills; ability to communicate complex ideas and issues clearly and concisely. Ability to read, analyze and interpret a wide variety of complex legal documents and agreements.
- Ability to effectively manage time, handle multiple projects concurrently, work under pressure and meet deadlines.
- Collaborative, highly-motivated, pro-active team player with a desire to learn and expand skill set in a result-oriented environment.
EDUCATION/LICENSE:
- Located in and able to work in corporate offices located in Sylmar, CA Must pass a drug test and background check.
- A minimum of 3 years of corporate, transactional law experience. In-house experience not required.
- A Juris Doctorate degree with proven academic success from an accredited law school
- California bar admission and good standing with the state bar.
Expected salary range for this position is $200,000 depending on experience.
