Job Description

A person qualified to perform substantive and procedural legal work as authorized by law. Paralegals adhere to recognized ethical standards and rules of professional responsibility.

Responsibilities

  • Prepare for and assist with closings
  • Participate in client meetings, telephone calls, and other interactions and organize and track client-related task lists
  • Coordinate efforts of attorneys and staff of multi-disciplinary teams in project management
  • Communicate directly with clients, attorneys and administrative staff; document significant communications
  • Prepare and/or assist with all aspects of due diligence (i.e. prepare due diligence checklists, prepare schedules, review documents related to same, etc.)
  • Prepare resolutions and written consents
  • Organize and maintain client files
  • Research and other duties as assigned
  • Attend to post-closing matters (i.e., third party follow-up, closing binders)
  • Assist in various matters related to transactions and securities’ filings completion
  • Plan and schedule client meetings
  • Demonstrate effort and commitment for client; effective advocate for client
  • Effectively identify, research and analyze legal and factual issues; cross-check and validate information
  • Prepare and revise drafts of various agreements and transactional documentation and attend to matters related thereto (i.e., UCC searches, closing checklists, loan documentation, etc.)
  • Complete franchise forms and related tax forms
  • Prepare entity formation documentation and agreements, maintenance of ownership ledgers, document equity transfers, and attend to matters related thereto (i.e. foreign qualification, annual reports, etc.)
  • Review and monitor updated statutes, regulations, codes and other authorities specific to area of practice

Qualifications/Requirements

  • Regularly report to work and adhere to designated work schedule
  • Contract matters
  • Outstanding interpersonal skills to work effectively within a team environment
  • 5+ yrs. experience required
  • Must have experience working on:

  • Willingness and desire to attend training classes to maintain and increase technical skills
  • Joint ventures and strategic alliances

  • Ability to prioritize, multi-task, adapt to new assignments, meet deadlines and maintain poise in a fast-paced, highly demanding environment
  • Observes strict confidentiality in both client and law office matters
  • Product development and supply agreements
  • Demonstrate good judgment and discretion
  • Knowledge of comparison software (Change-Pro/Microsoft Track Changes)
  • Excellent organizational, prioritization, and written and verbal communication skills
  • Antitrust matters
  • Advanced computer skills: Microsoft Office 2016 including Excel, Outlook and Word, as well as Nuance Power PDF and Adobe Acrobat
  • Venture capital, private equity, debt and other financing transactions
  • Paralegal degree or certificate required, BS/BA degree preferred
