What you'll do
The Legal Director is responsible for leading corporate strategic and tactical legal initiatives within Ascendion. The Legal Director provides senior leadership with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The Legal Director is directly involved in complex business transactions in negotiating critical contracts.
Your responsibilities
General
- Participates in the definition and development of corporate policies and procedures
- Oversees the selection, retention, management, and evaluation of all outside counsel
- Advises on legal aspects of the company's financing, including assessing and advising on current and future business structures and legal entities
- Provides continuing counsel on legal matters and on legal implications of all matters
- Structures and manages the company's internal legal function and staff
- Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures
- Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted
- Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations
Contract Review
- Disseminate and manage contract review process
- Guide and direct management in the processing of company contracts with client(s), vendors (during transition period), etc., to insurance contract compliance in terms of anticipated service delivery and financial parameters
Litigation & Administrative Claims
- Budget Control
- Assessing and advising on proper methods for responding to and handling administrative agency claims (e.g. claims filed with California's DLSE; EEOC claims, etc.)
- Case/Lawsuit Management
Labor & Employment
- Advisor to Human Resources
- Liaison with Outside Counsel — Littler
- Intimate knowledge of internal mechanisms and policies
Compliance
- Contractual, Statutory, Industry-related
- Background Checks
- Non-Compete Agreements
- Tax-related
- Trademark Management — maintain upkeep and protection of trademarks
- Draft and review company policies
- Employee payroll issues — advising payroll department on applicable laws
- Audit documents
- Draft Specialized Contracts, RFPs, and procurement initiatives
About you
- Law degree and admission to the bar
- Trademark/Copy Right
- Experience in contingent labor and employment laws
- Corporate Policies & Compliance

- Experience in dealing with:

- 3-5 years minimum experience working in a law firm and/or corporate environment
- Exposure to or familiarity with the following areas of law:
- Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources

- The total compensation range for this full-time position is $200,000-$300,000 + benefits. Our salary ranges are determined by role, level, and location. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
