Legal Bank Counsel Jobs

This is a role for a newer attorney with some level of experience either in law or in banking. This attorney will support General Counsel, Associate General Counsel and Senior Bank Counsel with various projects, that require research, writing, contract negotiation experience. Litigation experience is also useful in this role, in particular practice with e-discovery skills.

• Drafts, reviews, and revises contracts, policies and other documents involving the company's legal rights and/or duties.
• Works with Bank's outside counsel to ensure proper representation of the company and its affiliates.
• Maintains Bank's standard loan documents/ templates.
• Provides support, as necessary, on merger and acquisition transactions.
• Provides legal counsel to senior management of the bank, subsidiaries, andaffiliates.
• Researches legal issues to ensure compliance in areas of expertise.
• Assists and manages outside counsel prepared document audits.
• Added responsibilities as designated by the general counsel, associate general counsel,or his/her designee.
• Contributes to the achievement of corporate sales and service goals to build customer (external/internal) relationships and enhance shareholder value, through the provision of sound legal advice and counsel to the company.
• Assists in identifying, developing, communicating and monitoring policies and procedures to conform with legal and regulatory requirements.
• Monitors legislation, regulatory actions, and other legal developments affecting the company, and assists with interpretation of the same.
• Confers with company officers, customers, and other legal counsel on a variety of legal matters.
• Negotiates and/or advise on property matters for facilities group (leases, purchase contracts, etc.).
• Provides advice and counsel on a variety of legal matters or problems involving the company with and emphasis on commercial and treasury management banking, lending and contract matters.
• Reviews and negotiates commercial lending and treasury management documents.

• Licensed to practice, and holds at least corporate status in Ohio.
• Experience representing a public company and/or banking or other financial institution, or with a law firm practicing in the area of corporate/business law is a plus.
• Undergraduate degree and law degree (JD) from an accredited law school in the U.S. is required.
• 2-4 years of relevant experience as an attorney, or experience as in-house counsel with a strong interest in commercial, treasury management, and financial services work

• This position will receive training from both the Learning and Development team on basic professionalism and leadership skills, as well as hand on mentoring from others within the Legal Department.
