Description
The main purpose of the position is to deliver expert opinions to help management understand legal matters affecting business operations and transactions.
Key Accountabilities
Managing legal drafting, contract negotiation, and contract review efforts;
Spotting breach of contract issues internally and externally;
Providing ongoing legal advice on routine matters;
Handling the delegation of incoming legal matters;
Working with specialists and experts to achieve desired results;
Coordinating with the in-house team to navigate various legal issues;
Engaging in risk management services to mitigate financial exposure;
Directing efforts related to internal matters, like board meetings and disputes;
Representing the company in transactions, negotiations, and litigation;
Advising on employee-related issues;
Training employees and executives on business-related matters;
Drafting the documents necessary for business formations.
Contribute actively and effectively as an integrated team member
Meet regularly with the line manager to review the progress;
Manage issue resolution and critically escalate;
Work effectively with other teams, units, and departments;
Manage issues with clarity and ensure effective information flow and team working;
Support organization's other priority activities, when necessary;
Act as an Omilia ambassador.
Requirements
Software/IT Experience: Prior experience with software licensing and intellectual property matters is highly desirable, (exposure to Enterprise SaaS and Professional Services/Subcontracting a plus);
Solid understanding of data privacy and security laws & regulations and their latest developments (GLBA, HIPAA, CPRA, GDPR, etc...);
generative AI / LLMs we should expect to have to deal increasingly with customer friction on Training Data / AI tuning model provisions in our agreements as awareness and concerns will rise;
Ideally, the candidate should have an interest / be following these topics and the (legal) developments in this field as it could prove helpful in the future;
Qualifications: The ideal candidate should possess a degree in US law. There is no need for an actual license to practice law in the US;
Software/IT Experience: Prior experience with software licensing and intellectual property matters is highly desirable;
Drafting Expertise: The candidate should be proficient in helping draft agreements and adding relevant wording to Statements of Work;
External Advisory Role: The successful candidate will serve as an external advisor, providing legal counsel and guidance to our company.
Nice to have
Knowledge of biometrics (e.g. BIPA) will be a plus;
Working Hours: The role requires 10 hours per month, consistently, with the ability to accommodate additional hours if necessary;
Compensation: Fixed fee for a minimum of 10 hours/month, and in the event of exceeding the allocated hours, extra charges will apply for each additional hour worked;
Remote Work: This position is fully remote, allowing the candidate to work from any location;
Time Zone: The candidate must be available to work in the US time zone, ensuring timely communication and support;
Meeting Format: Meetings and collaborations will primarily take place via teleconferencing platforms like Zoom;
Geographic Flexibility: While the candidate can be based in the EU, they must be able to attend meetings during US time zone hours.
