AES is seeking a junior attorney with experience in financing transactions and project documentation for energy projects, including for renewable energy projects. This position will play a meaningful role within the legal group focusing on tax equity and debt project financings, corporate level financings and key project documents for renewable energy projects. The successful candidate will have the ability to clearly communicate, work as part of a team with project finance counterparts and project teams, identify and mitigate risks and manage outside counsel.
Principal Duties and Responsibilities:
  • Managing legal aspects of project construction, including reviewing change orders and force majeure notices, managing disputes with contractors and suppliers, supporting the permit compliance team and land team, etc.
  • Structure, draft, review and effectively negotiate tax equity and debt financing documentation, including portfolio financing structures with multiple projects being funded under the same construction debt, back-leverage debt, and tax equity partnership documents.
  • Manage and coordinate closings and due diligence with AES team members and outside counsel.
  • Effectively and efficiently manage outside counsel.
  • Experience in structuring, drafting, reviewing and negotiating power purchase agreements, engineering, procurement and construction contracts and other project-related documents is preferred.
  • Structuring complicated project portfolios, including shared facilities arrangements, multi-phase interconnection agreements, multi-phase construction, etc.
  • Act as internal counsel on tax equity and debt financings for such projects as well as corporate and trade payable financings.
  • Provide general legal counsel and strategic guidance to project finance team, project managers, permitting compliance team, construction managers, engineers and other project staff.
  • Attend to all aspects and issues related to renewable energy project financing, including financing of solar, solar plus storage, stand-alone storage and wind projects.
Desired Experience and Skills:
  • Smart, decisive, organized, methodical, biased toward action.
  • Experience in project development and project-related documentation preferred.
  • Ability to adapt to a variety of duties and work in a fast-paced environment.
  • Excellent communication skills, both oral and written.
  • At least 1-2 years’ experience in project finance transactions for renewable energy projects.
  • 2 - 5 years of energy financing and project document experience, preferably at a major law firm or sophisticated in-house legal group.
Education:
  • Bachelor’s Degree
  • J.D. from an accredited law school

The expected salary for this position, at commencement of employment, is between $95.000 and $153.000/Annual; however, base pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. The total compensation package for this position may also include other elements such as annual bonus, in addition to a full range of medical, dental, vision, life, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as vacation, sick time, and parental leave), dependent on the position offered. Details of participation in these benefit plans will be provided if a candidate receives an offer of employment. If hired, employee will be in an “at-will position” and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.
