Job Description

WHAT WE DO:

Calidi Biotherapeutics is a clinical-stage immuno-oncology company with proprietary technology that is revolutionizing the utilization of oncolytic viruses through an allogeneic cell-based delivery system. Calidi Biotherapeutics is advancing this potent stem cell and oncolytic virus combination for use in multiple difficult-to-treat oncology indications. Our team is also developing a universal cell delivery system to protect, amplify and potentiate oncolytic viruses currently in development.

GENERAL PURPOSE OF JOB:

Reporting to the Chief Legal Officer (CLO), the Corporate Paralegal’s primary role is to provide administrative and legal support to the legal department. Responsibilities may vary depending on the specific needs of the department and Company.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Organizes and files all legal documents in a secure and uniform way.
  • Identifies organizational protection goals and objectives, ensuring they are consistent with corporate strategic plans.
  • Conducts in-depth research for CLO-managed projects and provide deliverables to legal team on biotechnology-related laws, regulations, and precedents to support attorneys in their cases or projects. This includes researching patents, intellectual property rights, FDA regulations, and other relevant legal documents.
  • Acts as a liaison to the information systems and compliance departments.
  • Drafts the first copy of legal contracts such as Non-Disclosure Agreements, Consulting Agreements and Settlement Agreements.
  • Supports attorneys during possible litigation, which may involve organizing documents, drafting legal pleadings, and managing discovery materials.
  • Assists in preparing for trials, hearings, or arbitration by organizing evidence, conducting witness interviews, and helping with trial exhibits.
  • Assists with corporate governance matters, including preparing for board meetings, drafting resolutions, and maintaining corporate records.
  • Communicates with shareholders, government agencies, and other stakeholders to gather information, provide updates, and facilitate legal processes.
  • Performs other duties as required.
  • Assists with compliance matters related to FDA regulations, environmental laws, and other biotech industry-specific regulations.
  • Maintains effective independent liaison with management and executive personnel.
  • Stays Current with Biotech Trends: Keeping up-to-date with the latest developments in the biotech industry, including new technologies, therapies, and regulations.
  • Conducts research on biotechnology-related laws, regulations, and precedents to support attorneys in their cases or projects. This includes researching patents, intellectual property rights, FDA regulations, and other relevant legal documents.
  • Manages administrative duties, including organizing events and compiling complex legal documentation.
  • Collaborates with Calidi’s Accounting, Finance and R&D departments to help fufill legal requirements.
  • Aligns security with privacy compliance programs including policies, practices
  • Assists with patent and trademark applications, including conducting patent searches, gathering relevant documentation, and working with inventors to ensure accurate filings.

SKILLS/ QUALIFICATIONS

  • Strong understanding of biotechnology laws, regulations, and industry practices.
  • Strong business acumen and ability to contribute to the business strategy and operational execution
  • Strong organizational skills and attention to detail.
  • Familiarity with intellectual property concepts, including patents and trademarks.
  • Ability to work both independently and as part of a legal team.
  • Prior experience in biotech or life sciences industry would be an advantage.
  • Proficiency in legal research tools and databases.
  • Effective communication and interpersonal skills.
  • Excellent research and analytical skills.

EDUCATION and/or YEARS EXPERIENCE:

General

  • Bachelor’s degree in law or related field preferred.
  • 3+ years’ work experience as Paralegal, or similar role.

MATHEMATICAL SKILLS:

  • Ability to apply concepts such as fractions, percentages, ratios, and proportions to practical situations.
  • Ability to work with mathematical concepts such as calculation of dilutions and statistical analyses.

REASONING ABILITY:

  • Ability to define problems, collect data, establish facts, and draw valid conclusions.

LANGUAGE SKILLS:

  • Strong written and oral communication skills needed.
  • Ability to read and understand technical procedures.
  • Ability to effectively present data and respond to questions from co-workers.
  • Ability to write reports.
