Job Summary:


ERII is seeking a qualified candidate for an immediate full-time job opening for the position of Corporate Paralegal, with the Legal team in the San Leandro, CA facility. This position is responsible mainly for the duties and responsibilities listed below. A suitable candidate will have a minimum of 7 years of corporate paralegal experience (law firm and/or in-house).


Major Duties & Responsibilities


  • Respond to audit and due diligence inquiries
  • Upkeep corporate policies and procedures
  • Maintain corporate minute books and corporate records database
  • Organize company’s Annual Shareholders Meeting
  • Prepare and/or revise drafts of legal documents for attorney review, including but not limited to non-disclosure agreement, purchase orders, purchase contracts, service agreements and statements of work
  • Assist with the preparation of public company filings including annual Proxy Statement
  • Liaise with corporate agents and prepare all documentation necessary for governmental filings in accordance with local, state, national and international requirements for business operations
  • All other projects and duties as assigned
  • Track and assist annual report filings for corporate entities
  • Management of the Company’s electronic database and paper records, including the Company’s contract management database
  • Assist legal team in all aspects of legal support and special projects
  • Work with other internal departments and outside counsel and agents on corporate and legal matters
Required Knowledge and Skills


  • Strong verbal and written communication skills
  • Positive “can-do” attitude
  • Strong work ethics
  • At least 7 years of corporate paralegal experience – law firm experience or in-house experience with public company preferred
  • Work well both independently and in a team
  • Extremely detail-oriented
  • Self-starter and strong sense of ownership
  • Adapt to changing priorities and a wide variety of responsibilities in a dynamic environment
  • High proficiency in MS Office (Word, Excel, Outlook, PowerPoint)
  • Bachelor degree
  • Experience in contract management systems

The below range is the range that we reasonably believe to be the range of possible compensation for this role at the time of this posting. We may ultimately pay more or less than the posted range and this range is only applicable for jobs to be performed in California. This range may be modified in the future. The salary range for this role is $100,000 to $140,000.
