The Position

As the market leader in Claims and Risk Management services, GB is committed to providing tailored solutions that help clients achieve demonstrably superior outcomes.  Consistent with this mission, GB is seeking a Corporate Counsel.

Located at GB’s corporate headquarters in Rolling Meadows, Illinois, this is a unique position for a talented, versatile, pragmatic commercial generalist with proven organizational ability, keen negotiating skills and strong business acumen to assist in the management of GB’s contract function, as well as handle other commercial matters arising out of GB’s operations. This role will be hybrid- a combination of time spent in GB’s Rolling Meadows offices as well as the flexibility to work from home.

Responsibilities

  • Proactively manage a variety of transactional issues arising from GB operations, including reviewing, drafting, negotiating and interpreting a variety of agreements, including but not limited to, client and insurance carrier service agreements, vendor services agreements (including IT and other professional services), consulting services agreements, and other agreements.

  • Provide ongoing and proactive strategic advice regarding contractual and business risks and counsel on contract interpretation and potential dispute issues.

  • Serve as a key business and legal partner by virtue of technical competence, excellent business judgment and ability to develop relationships throughout the organization. Interface effectively with management at all levels.

  • Ensure that all agreements accurately reflect GB’s business objectives and comply with all laws and regulatory requirements. Demonstrate in-depth understanding of business operations and objectives to assess risk and bring together cross-functional teams to ensure business alignment.

  • Work closely with management, other GB legal representatives, and the Gallagher corporate legal department on strategic initiatives commercial and legal issues. Collaborate and work in a team environment with other Gallagher legal representatives in analyzing and implementing various projects, including improvements on data metrics and reporting and automation.

  • Identify and provide proactive advice and counsel on a variety of other legal matters that may arise, including IP, bankruptcy, and regulatory issues.

Qualifications

  • J.D. degree from an accredited law school and license to practice law under the Bar of any state that enables admission to practice as in-house counsel in Illinois.

  • At least 7 years’ relevant experience reviewing, drafting, and negotiating a variety of commercial agreements, preferably in both a corporate and law firm setting.

  • Experience with global business transactions is desired as is familiarity with substantive issues relating to providing business to business professional services.

  • Proven ability to effectively lead a cross-functional team and drive sophisticated global transactions and initiatives to completion in a fast-paced and entrepreneurial setting.

  • By virtue of interpersonal skill and presence, possess the ability to influence outcomes and manage ever-increasing transactional complexity, while providing client counseling of the highest quality.

  • Excellent interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels by virtue of keen business acumen, professional competence, integrity, and personal style.

  • Ability to handle sensitive situations tactfully yet firmly, to be assertive without being adversarial and to take unpopular positions when necessary while maintaining trust and credibility.

  • Advanced critical thinking and analytical ability, and the ability to understand and integrate details of the business to ensure new and existing business relationships are workable across functions.
