Job Description
Description

Hosokawa provides size reduction systems and powder processing solutions for chemical, pharmaceutical, food, mineral, plastics, and cosmetic applications. Throughout our history, we have led the industry in coarse to ultra-fine grinding, classification, mixing, drying, containment, compaction, and analytical equipment.

The Contract Administrator position is required to review and negotiate a variety of contracts including sales contracts, terms, and conditions from a wide variety of customers, guarantees, loan agreements, environmental contracts, NDA’s, real estate contracts, & vendor agreements.

Responsibilities
  • Mentor Sales and other departments about the importance of documentation when disputes arise.
  • Will change, propose, modify, and negotiate terms to reduce risk to Company.
  • Other tasks not specifically identified but related to contract matters.
  • Review and revise terms and conditions for the sale of:
    • Equipment, purchase of goods from vendors, parts, and service.
  • Assure acknowledgements are sent out by parties involved (random sampling), review standard quotation forms and make suggestions for continuous improvement.
  • Assure that all terms and conditions are explicit, and that laws and regulations are correctly interpreted while protecting the interest of the Corporation.
  • Assure the accuracy of company provided information, scope of work, and to reduce risk.
  • Read and review terms and conditions of sales submitted by customers.
    • Will change, propose, modify, and negotiate terms to reduce risk to Company.
    • Key areas are warranty, indemnification, limitation of liability, etc.
    • Assure that all terms and conditions are explicit, and that laws and regulations are correctly interpreted while protecting the interest of the Corporation.
  • Key areas are warranty, indemnification, limitation of liability, etc.
  • Compose correspondence for management to vendors or customers which clearly communicate the Company’s position based on the contract provisions when issues arise to arrive at a dispute resolution.
  • Equipment, purchase of goods from vendors, parts, and service.
  • Place limitations on duration of contract, handling requirements, markings, and protections against infringement.
  • Develop special agreements on behalf of top management for special business arrangements such as special projects, exclusivity arrangements, joint ventures etc. and maintain contract records.
  • Read, review, and modify NDA’s.
    • Assure the accuracy of company provided information, scope of work, and to reduce risk.
    • Place limitations on duration of contract, handling requirements, markings, and protections against infringement.
Qualifications
  • The ability to work in a team and play a leadership role when needed.
  • 3 – 5 years of experience with contract administration
  • Attention to detail, especially with writing and editing.
  • Strong analytical and organizational skills, effective communicator (both written and verbal), strong understanding of legal and contractual language.
  • 3 – 5 years of experience with UCC
  • 3 – 5 years of experience in the manufacturing industry
  • Ability to work under pressure with tight timetables and prioritize workload.

  • Bachelor’s degree
