Job Details


The contract administrator would provide legal assistance to General Counsel and various departments/functions/affiliates throughout the North American region. The duties include daily end-to-end US Government and domestic/ international contract review, negotiation and management for multiple functions/affiliates in the North American region, completing projects as assigned, and performing administrative work either manually or using computer and various software programs.


Responsibilities


  • Interacts directly with various levels of employees both in corporate and in the field in a professional manner, as well as customers, suppliers, distributors or field personnel.
  • Work directly with customers and suppliers to negotiate and to resolve a variety of open contractual issues.
  • Monitors contract performance and compliance with terms and conditions, tracks expiration dates, and performs closeout of contracts.
  • Support completion of information requests/compliance requests (e.g., related to Conflict Minerals, REACH/RoHS, Data Privacy, Export Compliance) received from Customers verifying the company as a supplier
  • Draft new contract templates and legal documents with assistance of General Counsel as the need arises.
  • Summarize vendor agreements and customer contracts in order to elevate concerns to General Counsel and obtain approvals for material changes to standard terms and any nonstandard language in all documents.
  • Maintains accurate filing system both manually or via computer and various software, collects and maintains various data and prepares reports or charts utilizing appropriate software for General Counsel.
  • Responsibilities may be assigned as required, on an ongoing or temporary basis. Work assigned may vary in accordance with respective management requirements and/or departmental/regional office requirements.
  • Schedules own appointments or meetings and generates own correspondence; able to work productively independently, as well as part of a team and under the direction of the General Counsel
  • Forward requests for certificates of insurance to carrier and ensure timely issuance of certificates.
  • Review of sales contracts (including US government contracts), nondisclosure agreements, procurement contracts, purchase order terms and conditions, and any documents requiring the company’s signature for adherence to company policy, government and contract specifications and requirements, and conformance to master agreements


Limited travel to other affiliates in North America may be required

Language Skills:


English Language (Native); Spanish (business level - Nice to have)


Computer Skills:


Computer Literate, Microsoft 360 Suite (Word, Excel, PowerPoint, Teams, Project, OneNote), Adobe Acrobat


Knowledge & Experience


Education


B.A or B.S. (4-year degree)


Experience:


Minimum 5 years of experience in contract administration including strong drafting and negotiation skills. Significant experience in the manufacturing or other tangible product industries required.


Computer literate


Special experience in a particular industry
