JOB SUMMARY: The Contract Administrator will provide support to the Legal Department by performing duties to assist legal and compliance operations. The Contract Administrator will manage the contracts administration process, coordinate filings and manage governance for various domestic and global subsidiaries, coordinate the process for approving and setting up new entities, and respond to KYC and due diligence inquiries and concerns. The Contract Administrator will assist with other related activities as requested.


ESSENTIAL DUTIES AND RESPONSIBILITIES: include but are not limited to the following activities. Reasonable accommodations may be made to enable individuals with disabilities to perform these essential functions:

Contracts Administration

  • Contract review prior to execution including but not limited to the following: (i) all fields completed, (ii) contains start and end date, (iii) notices section properly completed, and (iv) if NDA, ensure Excelerate’s standard version and proper term.
  • Working in conjunction with IT, maintain eContracts database which houses all company contracts. Initiate database access for new employees. Conduct database training for new and current employees, as required. Oversee the roll out of an update to eContracts.
  • Review notices inbox, and forward any notices received to the proper individual or department.
  • Facilitate the contract execution process through the following: (i) ensure quality control by verifying that the contract lead sheet process has been followed, (ii) seek and obtain proper signatures in accordance with the Authority Limits Policy, (iii) attach special delegation of authority if required, and (iv) archive fully executed contracts in the eContracts database.
  • Send out reminders for milestones including but not limited to contract renewals, expirations, and various other milestones related to projects that are recorded and tracked in the eContracts database.


Coordination of Corporate Matters

  • Serve as the point of contact with the local corporate secretary.
  • Understand what paperwork is to be prepared or filed each year in each foreign jurisdiction. Where there is a local corporate secretary, that person would be responsible for the actual preparation and filing. In the absence of a local corporate secretary in a particular jurisdiction, initiate preparation and filing of all corporate requirements.
  • Coordinate with local corporate secretaries (third party companies) or local Excelerate Energy personnel who serve as corporate secretaries to ensure all corporate functions are accomplished.
  • Work with each foreign corporate secretary to create and maintain a list of all documentation and corporate actions that need to be done on an annual basis as well as the applicable deadlines.
  • Update corporate actions list accordingly to record all filings.
  • Ensure copy of all foreign corporate documents and filings are received and maintained in the eContracts database, or other specified filing location.
  • Facilitate changes for corporate entities including but not limited to a change in directors, company address, or registered agent.


Serve as Process Coordinator for setting up new entities.

  • Coordinate new entity approval process between departments.
  • Monitor complete set-up of the new entity to ensure that all registrations, licenses, and other necessary measures are completed.
  • Work with Legal in setting up new entity once it has been approved.


Additional Duties

  • Other tasks as delegated by the General Counsel and Senior Attorney.
  • Prepare various legal documents based on standard templates.
  • Assist with KYC requests and various due diligence matters including but not limited to providing certificate of formation, designation of officers, and assisting with third party questionnaires.
  • Maintain and update company entity list and organization chart as instructed by Legal.
  • Serve as notary and obtain apostille certifications for company as required.

  • Bachelor’s Degree in Business or Liberal Arts with 3+ years relevant experience, or high school diploma with 5+ years relevant experience in a corporate legal department.
