Job Description

Job Duties: Associate with Goldman Sachs & Co. LLC in San Francisco, CA. Multiple positions available. Leads and participates in the full cycle of execution for mergers, acquisitions and financing transactions: Prepares and contributes to deal pitches including idea generation and identification of M&A and financing opportunities; Prepares, drafts and reviews materials to present to potential buyers of the company or their securities; Reviews and comments on complex legal documents including offering documents and stock purchase agreements; Independently liaises with senior bankers and product experts throughout the firm to ensure process execution; Interacts with management on a daily basis to execute projects, provide regular updates and advice and prepare presentation materials especially as it relates to equity underwriting, debt underwriting and mergers and acquisitions; Manages and performs due diligence investigations; prepares and reviews memoranda required to gain internal approvals from typical investment banking committees; Runs due diligence processes, and negotiates non-disclosure agreements and other legal documents with lawyers and potential buyers; Organizes and attends deal and non-deal roadshows and liaises with other investment banks and other parties; and Develops valuation frameworks and reviews models for private and public companies to develop key judgement including negotiation tactics and selling price. Maintains relationships with healthcare clients regularly through meetings and ongoing updates: Generates ideas / topics for meetings with clients (e.g. identifying potential acquisition targets) and socializes ideas with the internal teams, the client’s CFO, CEO and management teams; Analyzes accounting and regulatory statements, debt and equity filings and documents, financial projections and models as prepared in various formats by clients; and Presents to management level corporate clients on topics such as strategic alternatives, capital markets activities, structuring alternatives and corporate governance issues at board meetings and pitches and on conference calls.
Job Requirements: Bachelor’s degree (U.S. or foreign equivalent) in Economics, Finance, Accounting, Business Administration or a related field. Two (2) years of experience in the job offered or in a related investment banking role. Prior experience must include two (2) years with: providing financial advice to Healthcare companies on M&A transactions with deal value of over $1 billion and capital market transactions with deal value of over $250 million; performing the full cycle of transactional execution, including preparing marketing pitches, formulating financial analysis, conducting due diligence, preparing and presenting internal and external presentations, and facilitating buyer outreach and engagement; communicating with senior professionals, clients and key stakeholders in other lines of business; developing and maintaining client relationships within the healthcare sector; analyzing financial statements and regulatory disclosures to assess business performance and the accuracy of presentation; building complex financial models including both business operating models and valuation models including M&A, DCF, LBO, and comparables valuations; developing complex presentations using Microsoft Office, Excel and PowerPoint; and working with financial data providers such as Capital IQ, Thompson Eikon, Bloomberg, Moody’s, and other software programs. Must have or be able to obtain FINRA Series 79 within six (6) months of joining. Travel Required approximately 10-15% of the time to interact with clients and their investors. Travel is primarily domestic with occasional international travel. All travel is reimbursed by the Firm.
Salary Range: The expected annual base salary for this San Francisco, California, United States-based position is $150,000 – $225,000. In addition, you may be eligible for a discretionary bonus if you are an active employee as of fiscal year-end.
