What You’ll Contribute
  • Act as a strong advocate and trusted advisor for internal clients.
  • Draft, review, and negotiate a variety of inbound and outbound information technology agreements (e.g., sales, SaaS, service, subcontract, software, distribution, procurement, non-disclosure) for assigned internal and external clients.
  • Provide contract review coordination across businesses (product, services, finance) in support of channel partners and clients.
  • Identify red flag risk areas, working with business team to seek appropriate approvals.
  • Review and negotiate terms to be consistent with FICO policies and procedures.
  • Support department for contract template creation and revisions, contract interpretation and translation, as requested.
  • Support sales/business teams on opportunities, including support of the RFP process and contract terms requiring approval.
  • Protect FICO from unnecessary contract and other liabilities, damages and penalties.
What We’re Seeking
  • Juris Doctor degree and excellent academic credentials.
  • Ability to identify key risk and policy issues in any transactional situation/opportunity.
  • Strong work ethic, flexibility, and willingness to outside regular business hours when needed to complete critical matters.
  • Basic understanding of FICO products (e.g., FICO® Scores) and credit scoring, is a plus.
  • Basic understanding and working knowledge of United States software intellectual property law and practices.
  • Ability to understand issues quickly, and to articulate complex matters clearly both verbally and in writing to team members and senior management.
  • Basic understanding of FCRA, ECOA, CROA, CCPA/CPRA, consumer financial laws, fair lending laws, and privacy and security laws and regulations, is preferred.
  • Strong analytical and contract formation, preparation, drafting, review, management and negotiation skills.
  • Experience in technology transactions, including software and data licensing, preferably in a corporate legal department.
  • Licensed to practice law and in good standing in any jurisdiction. Minnesota or California Bar membership are preferred. Minimum of 3 - 5 years of relevant legal experience, either inhouse or law firm, is preferred.
  • Ability to work independently and effectively under pressure and maintain a diplomatic demeanor while working under tight timeframes.
