Job Description

We are currently looking for a Corporate Transactional and Banking Paralegal. This position will be responsible for supporting attorneys in the Corporate & Transactional and the Banking & Finance practices. Candidates must be self-starters who possess the ability to work independently and as part of a team. The ideal candidate will be detail-oriented and able to excel in a fast-paced environment. Excellent organization and communication skills, the ability to manage confidential information with discretion and a commitment to providing the highest quality client service are strongly preferred.


Responsibilities Include:

· Preparing organizational documents, certificates, agreements, resolutions and applications related to a variety of transactions and in connection with entity formations and amendments, including conversions, domestications, foreign qualifications, foreign withdrawals, fictitious names, dissolutions and mergers.

· Administering formations, foreign qualifications, foreign withdrawals, mergers, domestications, conversions, mergers, and dissolutions, including preparing authorizing resolutions and preparing and filing state forms to effect same.

· Applying for Employer Identification Numbers and preparing and filing of IRS forms related to SubChapter S Elections, QSub Elections, and Entity Classifications.

· Creating and maintaining data rooms and electronic records for M&A transactions.

· Assisting with M&A transactions, including:

o Preparing and maintaining transaction checklists.

o Reviewing and organizing results of public records searches.

o Ordering and reviewing corporate due diligence (including good standing certificates, bylaws, operating agreements, and formation documents)

o Reviewing board of directors and stockholder resolutions.

o Preparing ancillary transaction documents.

o Coordinating various aspects of closing, including preparation of signature page packets, assembly and preparation of final, executed closing documents with schedules and exhibits, assisting with closing arrangements, and distribution of closing materials.

· Determining proper jurisdictions for UCC, judgment, lien, and litigation searches. Reviewing, analyzing, and summarizing lien search results.

· Drafting and filing of UCC financing statements and subsequent amendments, assignments, or terminations with appropriate state and local agencies.

· Drafting and filing of Amendments, Assignments and Mortgage Satisfactions with appropriate jurisdictions.

· Preparing and filing Motor Vehicle Lien forms to perfect security interest in motor vehicles.

· Submitting filings under federal securities and state blue sky laws.

· Facilitating and assisting with ongoing corporate governance matters such as: maintaining annual corporate records and filings; handling issuance and transfer of stock; preparing stock certificates and shareholder registers; and preparing and maintaining analyses and charts of outstanding securities.


The ideal candidate will possess:

· Prior corporate paralegal experience – although we are willing to train for the right candidate.

· Skills in Microsoft Word, Excel, Adobe Acrobat, PowerPoint, and DocuSign.

· A highly professional and positive demeanor and strong work ethic, including the willingness to take on extra tasks and responsibilities to meet client/firm needs.
