Startup/Corporate Finance Associate

SEATTLE BASED EXPERIENCED STARTUP/CORPORATE FINANCE ASSOCIATE

Responsibilities:

The ideal candidate will have 2-4 years practicing corporate law and a desire to help entrepreneurs in a variety of innovative industries to form, organize, and document the financing of startup companies in all stages of their life cycle.

Qualifications:

• Startup group is robust and fast paced, and comprised of a team of experienced lawyers who will provide mentoring guidance and opportunities to assume increasing levels of responsibility.
• Our associates work both independently and as part of a team, and you will have the opportunity to lead deals end to end.
• Ideal skills are: entity formation, venture capital financings (convertible debt, SAFE, and fixed-price preferred stock financings; familiarity with creating pro forma cap tables), stock option plan administration, corporate governance; experience in drafting contracts, especially technology and intellectual property-related; general understanding of securities laws and regulations.
• Looking for an attorney who has excellent communication skills and wants to be part of a cohesive and collaborative practice group.
• Must be self-motivated and dedicated to providing the highest quality service, and welcome the opportunity to interact directly with clients, including CEOs, boards of directors, and investors.
