In-house Legal & Compliance Associate

Overall Job Responsibilities:

  • Prepare drafts of real property contracts, amendments, and statements of work.
  • Assist in the preparation and maintenance of a database to monitor contractual provisions, and compliance requirements.
  • Assist in updating and maintaining template agreements.
  • Draft documents in connection with financing transactions, acquisitions, and investor relations.
  • Draft new entity operating agreements with assistance from in-house legal and external counsel as necessary.
  • Prepare first drafts of corporate governance documents, correspondence, compliance certifications, and other documents as directed.
  • Draft NDAs, promissory notes and investor subscription agreements.
  • Provide support to In-house legal and Compliance
  • Maintenance of PSAs, Loan Agreements, and other legal agreements in Landfolio (TTLC’s legal obligations management platform)
  • Correspond with internal departments and external counsel on transactional and other matters.
  • Ability to support Investment Operations Team.
  • Draft letters, emails and other correspondence with regards to HR, Financing and Investment operational tasks.


Corporate Compliance Functions:


  • Updating Corporate Resolutions and entity organizational charts
  • Filing Annual and Bi-annual reports for entities currently under management, in multiple states
  • Drafting and updating entity Operating and Management Agreements and other Legal documents as applicable
  • Forming and closing entities from beginning to completion including foreign qualification.
  • Draft related documents of forming and closing entities.


Compliance Functions:

  • Monitor business processes
  • Educate employees about regulatory and legal requirements
  • Use routine audits to identify potential compliance risks
  • Help implement policies, systems, or controls to reduce risk
  • Stay up to date with regulatory changes


SKILLS REQUIRED/PREFERRED:

  • Ability to take direction and guidance and develop independence with respect to workload
  • Ability to effectively work and communicate with all departments and employees regarding essential duties/responsibilities described above
  • Consistent exercise of sound business judgement and discretion
  • Experience assisting in merger and acquisition activities a plus
  • Paralegal Degree or Certification required; Bachelor’s degree preferred
  • Experience in working with a Fund Manager or private equity
  • Excellent communication and writing skills
  • Ability to maintain a high level of confidentiality at all times
  • Strong computer skills, including advanced proficiency with Microsoft Office products (Word, PowerPoint, Outlook; intermediate proficiency with Excel)
  • Knowledge of any relevant regulatory standards or compliance requirements
  • Very strong attention to detail and accuracy of information
  • Strong understanding of standard contract language and general business operations
  • Excellent organizational skills and the ability to manage multiple projects simultaneously
  • Ability to effectively work and communicate with all departments and employees regarding essential duties/responsibilities described above
